Role Description
We are sharing a specialised part-time consulting opportunity for experienced Corporate Transactions Attorneys with strong expertise in mergers and acquisitions, contract drafting, negotiation, redlining, and transactional legal analysis to contribute to an advanced legal AI training and contract-evaluation project.
Selected professionals will:

Review and assess transactional contract workflows

Perform simulated negotiations and redlining exercises

Evaluate AI-generated legal responses

Help establish rigorous standards for corporate-transaction analysis and drafting
The opportunity is particularly suited to attorneys with hands-on M&A experience in corporate law firms and familiarity with sophisticated acquisition agreements.
Qualifications

J.D. from an ABA-accredited law school

Active bar admission in at least one U.S. jurisdiction

Minimum of 2 years of experience in the M&A department of a corporate law firm

Strong experience with mergers and acquisitions and corporate transactional work

Familiarity with standard M&A agreements, including SPAs and APAs

Strong contract-drafting, negotiation, and redlining skills

Excellent written and verbal communication skills

Meticulous attention to detail and strong analytical judgement

Ability to translate legal expertise into structured evaluation feedback

Comfortable working with cross-disciplinary teams in fast-paced environments

Experience working with private equity firms is advantageous

Prior exposure to AI, legal technology, or related training initiatives is beneficial but not required

Displayed compensation range: $90β$130/hour

Actual compensation structure is task-based, with payment made per completed task that meets project specifications

Average handling time is approximately 3.5 hours per task

Effective hourly earnings may vary depending on task completion time and successful sign-off

Work will involve corporate transaction review, M&A drafting, negotiation simulations, redlining, AI-output evaluation, and legal-quality framework development

Strong M&A and transactional experience is central to this engagement

Assignments may involve SPAs, APAs, and related corporate transaction documents

Project scope, workload, agreement types, and evaluation standards may evolve depending on project requirements

Work must be completed without using confidential or privileged information belonging to any employer, client, law firm, institution, or other third party
