Role Description

We're looking for a Contract Engagement Advisor who thrives at the intersection of strategy, analytics, and real-world impact. Your expertise will help turn massive amounts of healthcare data into clear, actionable strategies that drive better outcomes and smarter decisions.

• Learn and understand Truven's products, business model, strategy, culture, etc. to develop a deep understanding of the business and support its revenue goals through contracting activities.
• Initiate, review, redline, and efficiently negotiate a broad range of transactional contracts including data agreements, SaaS agreements, master agreements, SOWs, BAAs, trial agreements, NDAs, teaming agreements, independent contractor agreements, and vendor agreements.
• Support Truven by efficiently managing standard and complex contracts.
• Drive competitive bid efforts through the evaluation of RFIs and RFPs, identification of issues and provision of subject matter expertise bid response.
• Analyze contract terms and conditions, evaluate prior terms, determine the need for amendments or renewals, and negotiate revisions within guidelines using contract playbooks.
• Coordinate contract review and collaborate with internal SMEs and functional leads (in house counsel, sales, compliance, finance/accounting, information security, etc.) to provide guidance on contract terms and risks.
• Develop strong business relationships with key internal stakeholders including Truven leadership, and external parties such as customers and suppliers.
• Assist with managing playbooks, templates, processes and clause libraries to optimize enterprise contracting processes.
• Work with existing contract management systems and identify, implement and support improvements and new technologies.
• Perform other duties and responsibilities as needed.

Qualifications

• Bachelor's Degree plus 10 years of experience drafting, negotiating and consulting on contracts.
• Experience in working with data privacy issues and agreements.
• Experience in healthcare technology, technology software & services or healthcare.
• Excellent drafting and negotiation skills and demonstrated ability to close complex transactions.
• Practical, business-driven problem solver with proven ability to manage competing priorities.
• Exceptionally detail oriented, with a sense of urgency and high-quality work with minimal supervision.
• Unwavering commitment to customer service for internal and external clients.
• Exceptional interpersonal, verbal and written communication skills.
• Advanced skills with Microsoft Word and PowerPoint; experience with CRM and CLM tools.

Requirements

• Experience working in Salesforce, Docusign or similar tools.
• Experience providing training or education to internal clients.
• Experience in driving organizational change and improvements.
• Experience with government contracts and procurement processes.

Compensation

The salary range provided in this job posting is intended to reflect the general market value for the position. The actual salary offered may vary based on factors such as the candidate’s experience, qualifications, skills, and the specific requirements of the role. This range may also be subject to change as market conditions evolve. We encourage open communication throughout the interview process to discuss compensation expectations. For base-salary + commission sales roles, the range represents On-Target Earnings.
