Role Description

A fantastic opportunity has become available for a commercially minded US attorney to join Caristo Diagnostics’ rapidly growing team as our first legal hire in the U.S. Based in the U.S., you will work in our global team with colleagues in both U.S. and U.K.

We are seeking a commercially minded US attorney to join our team as our first legal hire in the US, support expansion of our US operations and build out our US legal function. This is a broad role for an attorney with at least six years of relevant experience gained at a law firm, in-house legal team or a combination of both. The successful candidate will work closely alongside our leadership team, including our UK legal team, and will collaborate across company functions, providing practical advice, negotiating commercial agreements and helping Caristo manage legal and regulatory risk. The role requires excellent legal knowledge, sound judgment, strong communication skills and the ability to balance risk with commercial objectives.

The ideal candidate will:

  • Be motivated at the thought of working in an innovative medtech start-up with a strong collaborative commercial and science-based culture, helping to build a global business that will have material impact on the health and wellbeing of potentially millions of people;
  • Be a self-starter with desire to help build our US legal function from the ground up;
  • Share the company values of pushing the boundaries, taking ownership, caring for each other and acting with candor and professionalism.

Responsibilities

  • Commercial Contracts:
    • Lead drafting, review and negotiation of US commercial agreements, including:
      • Customer contracts with hospitals, diagnostic imaging centres, cardiology practices and longevity clinics;
      • Agreements with pharmaceutical companies;
      • Master services agreements and supplier licence agreements;
      • Honorarium and consultancy agreements with key opinion leaders;
      • Agreements for prospective clinical studies and research collaborations;
      • Confidentiality agreements.
    • Develop and maintain contract templates, playbooks, policies and approval processes in close partnership with Sales Operations.
    • Build a scalable contracting process that accelerates customer onboarding, removes bottlenecks and maintains proportionate risk controls.
  • US Compliance & Risk:
    • Lead US legal and regulatory compliance in partnership with Regulatory, HR and Quality functions, including:
      • Monitoring developments in US law and regulation, particularly those affecting software, AI and medical devices, and translating them into practical business guidance;
      • Ensuring significant legal and regulatory changes are reflected in strategic plans;
      • Drafting and maintaining governance and compliance policies, including those addressing Sunshine Act and HIPAA; and delivering practical legal training and promoting awareness of company policies and compliance obligations.
    • Partner with UK Legal to develop and implement a Code of Conduct covering anti-kickback, bribery and corruption, sanctions, competition law, fraud, whistleblowing, conflicts of interest and modern slavery.
  • US Employment Support:
    • Advise HR on US employment matters and disputes as they arise.
    • Support compliance with employment laws and regulatory requirements.
    • Help foster a collaborative, positive and fair culture across UK and US locations.
  • Disputes:
    • Advise on disputes, investigations and pre-litigation matters, coordinating external counsel where appropriate.

Qualifications

  • Juris Doctor (JD) from an accredited US law school.
  • Active membership in good standing with at least one US state bar.
  • At least six years’ post-qualification legal experience gained in a reputable law firm, an in-house legal team or a combination of both.
  • Strong expertise in commercial contracting, US privacy law and data-security requirements.

Requirements

  • Desirable Experience:
    • Experience in medical devices, healthcare technology and/or software.
    • Experience supporting a high-growth or scaling business.
    • Experience working across multiple US states or with international teams.
    • Familiarity with contract lifecycle management systems and legal-operations tools.
    • Experience selecting and managing external legal and professional advisers, including agreeing scope, fees and timelines.

Personal Attributes

  • Collaborative: builds trusted relationships across legal and non-legal teams and exercises sound judgement and diplomacy.
  • Commercial: understands business objectives and brings excellent drafting, communication and negotiation skills.
  • Pragmatic: identifies practical solutions and knows when to resolve an issue directly or escalate it.
  • Clear communicator: analyses information effectively, explains complex legal issues and presents practical advice clearly, concisely and confidently.
  • Accountable: takes ownership and follows matters through to completion.
  • Adaptable and organised: works independently in a fast-paced environment, manages competing priorities and remains effective as circumstances change.

Benefits

  • A competitive salary and benefits package.
