Remote: Contracts Counsel / Senior Paralegal

Commercial Agreements & Leases | Flexible, Per-Task Work | Hawaii-Based

Independent Contractor (Non-Employee) | Fully Remote

We are looking for a legal professional to support our commercial contracting needs in Hawaii on a flexible, per-task basis.

What You Will Do

• Contracts:
  • Draft and review/comment on commercial agreements customary to large retail operations, including real property leases (with landlords and with tenants), vendor and supplier agreements, services, licensing, and technology.
  • Provide high-level summary of material issues for lengthier agreements.
  • Recommend practical solutions.
• Contract management:
  • Organize and maintain executed contracts, including relevant communications.
  • Track key dates, obligations, and renewals.
• Administrative support:
  • General (e.g., internal reports, data management).

Qualifications

• 3-5 years' experience as an attorney, or 5-7 years' experience as a paralegal, with substantive experience in commercial transactions and agreements in Hawaii.
• Must be actively engaged in commercial agreements and residing in Honolulu. Attorney applicants must be licensed (active status) in the State of Hawaii.
• Detail-oriented, organized, practical, and takes pride in their work quality.
• Writes with clarity and brevity.
• Responsive, responsible, and reliable.
• Business and financial acumen and confidence to recommend practical solutions are valued.
• Trust is essential. You must be free of conflicts with any counterparty to an assigned matter (you will be asked to confirm this for each task).
• Proficient in MS Word and basic Excel functions. Familiarity with SharePoint is helpful. Proven skills in agentic AI are valued.

How It Works

• Workload: Approximately 5-10 hours per week, with larger projects requiring more time. You manage your own schedule.
• Turnaround: Contract reviews are generally due within 3-5 days; other matters are generally within 7 calendar days.
• Location: Fully remote (work from anywhere and at any time). Occasional calls or meetings at a time agreed with you.
• Status: Independent contractor position, not employment. Role may lead to permanent employment.

Compensation

Fixed fee per task, typically ranging from $100 to $5,000 depending on complexity of task/issues, your organization/clarity, and quality of your work product. Higher work quality and higher value-add will lead to higher compensation.
