Role Description
The Corporate Counsel provides broad legal support across EasyPost, with a primary focus on corporate legal matters. This role will partner closely with business leaders across the company to provide practical, business-focused legal guidance, manage risk, and facilitate the company's growth and strategic initiatives.
The Corporate Counsel will support corporate governance, board matters, M&A support, entity management, regulatory filings and compliance, and equity plan administration. Additionally, the Corporate Counsel will support other legal matters, including a broad range of commercial agreements, disputes, intellectual property, and other specialized legal matters.
This position is an important partner to Sales, Product, Finance, and other cross-functional teams and requires strong judgment, executive presence, negotiation skills, and the ability to balance legal risk with business objectives.
Qualifications

Juris Doctor (J.D.) degree from an accredited law school.

Admission to and good standing with at least one U.S. state bar.

5+ years of relevant legal experience, with meaningful in-house experience required.

Experience working at a technology company, preferably a mid-sized or larger organization with exposure to corporate governance and complex business operations.

Experience with corporate governance, board matters, M&A due diligence, regulatory/SEC filings, equity plans, and general corporate matters.

Experience drafting, reviewing, and negotiating commercial contracts, including revenue, vendor, and partnership agreements.

Law firm experience in addition to in-house experience is a plus.

Familiarity with HIPAA, privacy, or healthcare-related legal matters is preferred but not required.

Strong business judgment and the ability to provide practical, solutions-oriented legal advice.

Strong negotiation skills and executive presence, with the ability to influence and collaborate effectively with senior leaders.

Ability to manage multiple priorities and work independently in a fast-paced, evolving technology environment.

Requirements

Provide day-to-day legal counsel and strategic guidance on a broad range of corporate and general legal matters.

Support corporate governance matters, including board meetings, board materials, minutes, resolutions, and related corporate records.

Assist with M&A activities, including legal due diligence, transaction support, and coordination with internal stakeholders and outside counsel.

Manage and support regulatory and SEC filings, entity management, and other corporate compliance requirements.

Support administration and management of the company's equity plans and related legal matters.

Draft, review, negotiate, and advise on a broad range of commercial agreements, including revenue, vendor, partnership, and other business contracts.

Partner with Sales, Product, Finance, and other cross-functional teams to structure and facilitate business transactions while appropriately managing legal and commercial risk.

Provide legal guidance as EasyPost develops and launches new products, services, and strategic partnerships.

Serve as a trusted legal partner to business leaders, providing practical and actionable advice rather than simply identifying legal obstacles.

Manage and coordinate outside counsel on litigation, disputes, trademarks, intellectual property, and other specialized legal matters.

Identify opportunities to improve legal processes, templates, and workflows to support a growing business.

Develop strong relationships with internal and external stakeholders and communicate complex legal issues clearly to a variety of audiences.

Be a strong collaborator and business partner who contributes across the organization and helps the company move quickly while managing appropriate risk.
