Role Description
This role will serve as a strategic advisor to KLDiscovery on commercial contracting, product launches, technology licensing, and the legal issues arising from our AI-enabled products and services. The position will work closely with cross-functional teams and will be empowered to provide proactive solutions and improvements to our operations. In addition, this role will have opportunities to support our international teams as well as grow and contribute to other legal disciplines within KLDiscovery as necessary, based on interest, and the needs of the business. This is a fully remote position (must be based in the United States).
The role will provide day-to-day advice on a wide range of commercial and technology matters, including:

Drafting and negotiating customer and vendor agreements

Software and data licensing
-
Advising on the legal and regulatory issues raised by artificial intelligence products and features

Forensic collections, data preservation, and all other legal queries
The role interfaces regularly with our Sales, Product, Engineering, and Executive Management teams across the organization.
Qualifications

Juris Doctor with a current Bar license

Between 5 to 10 years of experience in commercial/transactional law and technology licensing

Experience advising on artificial intelligence, machine learning, cloud computing, data privacy

Strong drafting and negotiation skills across a range of commercial and technology agreements

Sound judgment and the ability to assess and communicate legal risk pragmatically in a fast-paced, high-tech environment

Excellent interpersonal skills, with the ability to build trust and influence across all levels of the organization

Excellent communication skills with the ability to convey complex legal concepts in plain language to both legal and non-legal audiences

Ability to prioritize and manage multiple assignments simultaneously while maintaining commitment to deadlines

Process-oriented mindset, with a drive to improve systems, workflows, and outcomes

Adaptability and intellectual curiosity, with a willingness to expand into new legal domains and support cross-functional initiatives

Requirements

Draft, review, and negotiate a wide range of commercial agreements, including software and technology licensing, SaaS, master services agreements, data processing agreements, and customer and vendor contracts

Provide legal counsel on the development, deployment, and commercialization of artificial intelligence and machine learning products and services

Identify legal risks associated with new products, features, and business initiatives, and propose practical, business-oriented mitigation strategies

Advise on data privacy, intellectual property, and regulatory compliance issues arising from commercial transactions and technology products

Partner with Sales, Product, Engineering, and Business teams to structure deals, support product launches, and provide day-to-day transactional support

Stay current on developments in AI law and data protection, proactively advising stakeholders on implications and best practices and updating documentation accordingly

Leverage AI tools and legal technology to improve productivity, decision-making, and legal service delivery

Collaborate with legal colleagues to provide support in other areas based on experience and interest, such as employment law, litigation strategy, and risk management

Individual compensation will vary, although a reasonable estimate of the current annualized base pay range for this position is $160,000 to $190,000
