[Hiring] Senior Commercial Counsel @Paxos

Role Description

As Senior Commercial Counsel, you will partner with business teams to close deals efficiently while protecting Paxos' interests. You will:

• Translate legal, commercial, technology, and regulatory considerations into clear, actionable recommendations.
• Create leverage through templates, playbooks, and process improvements that help the business scale.
• Help stakeholders anticipate issues before they become blockers.
• Manage a range of in-house commercial, corporate, and other legal matters, including drafting and maintaining terms and conditions and negotiating banking and financing documents.
• Adapt to the evolving needs of the business, demonstrating versatility and a willingness to take on new areas of work.

Qualifications

• 6-10 years of commercial legal experience in technology transactions, SaaS agreements, corporate law, mergers & acquisitions, funds, and/or finance at a top tier law firm or high growth technology company (preferably a combination of both).
• Experience leading complex commercial negotiations from initial term sheet through final execution, with sound judgment on when to hold firm and when to compromise.
• Commercial mindset with a deep understanding of practical business issues, and the ability to weigh legal risk against business objectives.
• Experience working cross-functionally on multiple projects under tight deadlines while building strong, trusted client relationships.
• Desire to work in a fast-paced, dynamic, and demanding environment, with comfort handling ambiguity and shifting priorities.
• Excellent written and verbal communication and negotiation skills, including the ability to explain complex legal issues clearly to non-lawyers.
• Efficient and judicious use of appropriate AI tools to improve speed and quality, with sound judgment about when human review is essential.

Requirements

• Experience working on a wide variety of in-house legal matters, including employment issues, stock option plans, and intellectual property, and comfort handling unfamiliar areas of law as business needs arise.
• Experience working in a hyper-growth, tech-focused company, with an understanding of how legal teams can scale processes and support the business through rapid change.
• Strong interest in blockchain technology and its evolving regulatory landscape, with curiosity about how digital assets and tokenization are reshaping financial services.
