Role Description

We are actively seeking Commercial Attorney Talent for one of our clients.

• Location: Remote
• 30 hours per week, for 10-12 months

Qualifications

• Juris Doctor (JD) degree preferred, but not required to pass the bar.
• At least 5+ years of relevant legal experience with the ability to work both independently and with a team.
• Significant experience advising clients on structuring sales/licensing, and negotiating commercial transactions directly with customers.
• Significant familiarity with data protection/privacy regimes (GDPR, CCPA), information security practices, data governance, and emerging commercial AI liabilities.
• Excellent interpersonal skills, business judgment, strategic thinking, and superior work ethic.
• Proven ability to manage numerous complex contract negotiations simultaneously under tight deadlines and quarter-end pressure.
• Highly dynamic, team-oriented, and able to confidently influence cross-functional stakeholders (Sales, InfoSec, Product) to drive revenue forward.
• Experience in cybersecurity or other high-technology sectors is preferred.

Requirements

• Proven ability to negotiate favorable terms and conditions in commercial contracts.
• Experience drafting and reviewing contracts is essential.
• Ability to conduct thorough legal research and analyze complex legal issues related to contract law.
• Excellent written and verbal communication skills, with the ability to clearly articulate complex legal concepts to both legal and non-legal audiences.
• Strong organizational and time management skills; ability to prioritize and manage multiple transactions simultaneously with competing deadlines.
• Ability to work effectively and collaboratively with internal stakeholders across different departments (e.g., sales, product, legal).
• Proficiency in Google Workspace and Microsoft Office Suite (Word, Excel, PowerPoint).
• Familiarity with contract management software is a plus.

Duties & Responsibilities

• All tasks will be performed under the control and direction of Sr. Commercial Counsel.
• Drafting of a variety of commercial agreements, including but not limited to: software licenses, services agreements, non-disclosure agreements (NDAs), and master service agreements (MSAs).
• Conduct legal research and analysis to support contract negotiations.
• Prepare and review contract drafts, identifying and addressing potential risks and liabilities.
• Track and manage contract deadlines and milestones.
• Maintain accurate records of all contract-related documents and communications.
• Collaborate effectively with internal stakeholders to ensure timely and efficient contract execution.
• Participate in contract negotiation meetings and contribute to the development of negotiation strategies.
• Other duties as assigned.
