Role Description

Clean Energy Counsel, a mission-driven law firm dedicated to accelerating the world’s transition away from fossil fuels, seeks to hire a highly qualified senior corporate associate with excellent law firm experience and academic credentials to join our firm. This attorney will advise clean energy companies, project developers, investors, private equity funds, and other clients on a broad range of sophisticated corporate and transactional matters.

The ideal candidate will have substantial experience handling complex business transactions and will be comfortable taking a lead role in client relationships, negotiations, and transaction execution. Experience in the clean energy, renewable energy, infrastructure, climate technology, or sustainable development sectors is mandatory.

Qualifications

• 5+ years of experience at a law firm, ideally in a practice serving clients in the renewable energy and related industries.
• Demonstrated experience leading or substantially contributing to complex financing, joint venture, private equity, or other strategic transactions.
• Strong drafting, negotiation, analytical, and client-management skills.
• Ability to confidently and competently serve as the senior, lead attorney on complex financing transactions, including management of the deal and supporting attorney team(s) with minimal oversight.
• Strong organization, drafting, communication, negotiation, and analytical skills.
• Team-focused outlook with a focus on mentoring junior attorneys.
• Excellent written and verbal communication skills as well as organizational, planning, and project management skills.
• Ability to simultaneously handle a variety of complex matters under strict deadlines and pressure.
• Ability to work and collaborate effectively in a remote work environment.
• Admission to and in good standing with the Bar of the applicant’s state of residence.

Requirements

• Advise clients on complex corporate and transactional matters throughout the business lifecycle.
• Lead and support reorganizations, restructurings, and other corporate strategic transactions.
• Structure and negotiate equity financings, private equity investments, and other capital-raising transactions.
• Structure and negotiate joint ventures, strategic partnerships, and other commercial arrangements.
• Advise clients on corporate governance, entity formation, capitalization, shareholder and partnership matters, and related corporate issues.
• Adhere to Firm policies, practices, and priorities.
• Identify legal and business risks and develop practical, creative solutions that advance clients’ objectives.
• Supervise and mentor junior attorneys and other members of deal teams.
• Contribute to the development of CEC’s corporate practice, including identifying opportunities to expand client relationships and generate new business.
• Stay current on legal, regulatory, and market developments affecting corporate transactions and the clean energy industry.
• Perform other duties as requested by Firm management.

Benefits

• 1,200 annual billable hour requirement, with bonuses for exceeding such requirement and for origination of new clients and matters based on a percentage of total revenue received.
• Base salary of $220,000+. The base salary for this position will be determined during the interview process and will vary based on multiple factors, including but not limited to prior experience, relevant expertise, current business needs, and market factors.
