Role Description
Draft, review, and negotiate commercial agreements, such as SaaS, service, and vendor agreements, and advise internal teams on legal positions and risks to support business decisions.

Advise HR on CoverGo personnel matters, such as employment terms, contractor engagements, and offboarding, and draft HR-related agreements and documents, including employment and contractor agreements.

Handle corporate housekeeping, including drafting and filing corporate documents in compliance with applicable laws and regulations, and maintaining organized records of legal documents, contracts, and correspondence.

Develop and improve internal legal processes, templates, and policies to streamline legal operations, and stay abreast of legal and regulatory developments relevant to CoverGo's business.

Support the technical and security teams on privacy and technology matters as needed, including the review of Data Processing Agreements and Security Addenda.

Review NDAs and track key contract obligations, renewals, and deadlines to ensure timely action.

Keep track of CoverGo's intellectual property, and coordinate with external counsel on IP filings, renewals, and related matters.

Communicate with clients and third-party service providers on legal matters, including contract negotiations and queries.

Support internal teams in responding to RFPs and client due diligence questionnaires, including reviewing legal and compliance sections and providing CoverGo's legal positions.

Collaborate with the Legal Counsel, internal teams, and external counsel, and support other legal tasks as assigned.
Qualifications

Must possess a legal degree from an accredited institution.

Must have a minimum of 2 years of experience as a Legal Practitioner, Legal Assistant, Legal Officer, Paralegal, or similar role.

Experience in a tech company is a plus.

Being qualified to practice law in at least one jurisdiction is an advantage (e.g., passed the Philippine Bar Examination).

Proven experience in drafting, reviewing, and editing contracts.

Experience in commercial contracts, corporate housekeeping, or employment matters is a major advantage.

Strong legal research and analytical skills.

Excellent organizational skills, with the ability to manage multiple tasks efficiently.

Exceptional written and verbal communication skills in English, with the ability to explain legal concepts to non-legal stakeholders.

Keen attention to detail and accuracy in legal documentation.

Collaborative mindset with the ability to work effectively within a team.

Litigation or corporate practice experience is an advantage.
