[Hiring] Contract Manager @Hanwha Convergence

YDay - Hanwha Convergence is hiring a remote Contract Manager. πŸ’Έ Salary: unspecified πŸ“Location: USA

Role Description

We are seeking an experienced Contract Manager to join our in-house Legal team. This role is designed for a seasoned commercial contracts professional who can independently review, redline, and negotiate complex agreements, while exercising sound judgment about when an issue requires escalation to legal counsel or business leadership.

Contract Manager will support multiple business centers and work closely with Business Development, Field Operations, Engineering, Finance, and other stakeholders from the RFQ and proposal stage through contract negotiation, execution, and post-award matters.

We are looking for someone who understands that contract language becomes business obligations, cost, operational obligations, change orders, and claims. The right candidate understands contract wording in that lifecycle and commercial outcomes.

Contract Manager will use institutional knowledge, challenge and improve it with our teams, and help turn it into a more scalable contracting function.

Contract Manager will support construction, engineering, and other growing business areas.

Our Deputy General Counsel values thoughtful disagreement grounded in logic. We expect each team member to ask sharp questions, challenge assumptions, and explain the reasoning behind their positions.

Responsibilities

  • Contract Review, Negotiation, & Deal Leadership - 50%
    • Review, draft, redline, and negotiate complex commercial agreements, including service agreements, construction and engineering agreements, equipment supply agreements, master service agreements, and subcontracts.
    • Lead negotiations with customers, contractors, suppliers, and other counterparties within approved business parameters, established Company positions, and Legal guidance.
    • Apply Company key-term positions, standard agreements, prior negotiation outcomes, and lessons learned when developing contractual positions and counterproposals.
    • Identify material deviations, commercial tradeoffs, and contractual risks and develop practical negotiation positions and fallback solutions with business stakeholders.
    • Lead and coordinate cross-functional contract reviews with relevant teams, driving issues toward timely decisions and resolution.
    • Facilitate internal and external negotiation meetings and communicate complex contractual issues clearly and practically across different functions, organizations, and cultural backgrounds.
    • Escalate matters requiring legal judgment, executive approval, or material business decision.
    • Manage multiple complex negotiations and deadlines simultaneously while maintaining visibility into key open issues, required approvals, and execution timelines.
  • RFQ, Proposal and Deal Support - 25%
    • Partner with relevant business teams during RFQs and proposal development.
    • Identify contractual assumptions, exclusions, customer requirements, and key risk allocation issues that may affect scope, pricing, or the eventual contract structure before commercial positions become fixed in the quote/proposal.
    • Translate customer requirements and operational commitments into clear and appropriate contractual positions.
    • Align proposals and definitive agreements so that the final contract reflects the transaction and risk allocation approved by the Company.
  • Post-Award Support and Knowledge Management - 25%
    • Prepare and curate practical contract summaries using Company-approved AI tool(s), key-term guides, obligation matrices, and other reliable contract knowledge for business teams and Company-approved knowledge-management or AI-supported tools.
    • Capture and apply negotiation outcomes, project experience, claims, and lessons learned to improve standard agreements, key-term positions, contracting process, and internal training.
    • Support amendment, change orders, contract notices, claims, scope changes, renewals, and other material post-award contract matters.

Qualifications

  • Proven experience (10+ years) in relevant commercial contracting, preferably in the renewable energy, power generation industry, or EPC industry.
  • Demonstrated experience to lead cross-functional negotiations and drive issues toward resolution.
  • Strong understanding of legal terminology and processes in a project-based environment, such as EPC, construction, energy, industrial services, or a comparable business.
  • Strong negotiation and commercial judgment, including the ability to develop practical positions and fallback solutions and recognize matters requiring escalation.
  • Excellent project management skills with the ability to prioritize tasks, meet deadlines, and adapt to changing priorities.
  • Exceptional communication and negotiation skills, with the ability to effectively interface with clients and internal stakeholders.
  • Proficiency in contract management software and collaboration tools.
  • Detail-oriented with a high level of accuracy and analytical thinking.
  • Ability to work independently and as part of a team in a fast-paced environment.
  • Knowledge of regulatory requirements and industry standards relevant to utility-scale solar projects.
  • Proven strong work ethic, self-discipline, and accountability, with a proven ability to work independently, remain highly responsive during work hours, and consistently deliver results with limited supervision.

Preferred Experience

  • Strong understanding of EPC contracts, including terms and conditions, scope of work, and risk management.
  • Experience in renewable energy, utility-scale solar PV, BESS, or power generation.
  • Bachelor's degree in Business, Engineering, Construction Management, Law, or related field; Advanced degree or certification in Contract Management is a plus.
  • Advanced knowledge in Microsoft Office Suite and LexisNexis+.
  • Paralegal is a plus.

Physical Requirements / Work Environment

  • Prolonged periods of sitting at a desk and working on a computer.
  • Manual dexterity sufficient to operate standard office equipment, such as computers, copiers, scanners, and telephones.
  • Visual acuity to read and review legal documents, computer screens, and printed material.
  • Hearing ability to communicate effectively via telephone, video conference, and in-person interactions.
  • Ability to lift up to 15–25 pounds occasionally (e.g., file boxes, legal binders).
  • Repetitive hand movements for typing and document handling.
  • Mobility to move between offices, courtrooms, or filing areas as needed.
  • Occasional travel may be required to attend off-site workshops/meetings at other locations (up to 10%).
