Role Description
This role offers a dynamic environment for an experienced legal professional to handle a variety of corporate transactions, particularly technology services deals, while contributing to commercial contract negotiations and corporate governance matters.
In this role, you will:

Contract Drafting, Review & Negotiation
- Technology Services, Insurance Solutions, and Vendor

Work directly with business partners to own and manage all aspects of technology contracts.

Draft, redline, respond to redlines, and negotiate Master Service Agreements (MSAs), Statements of Work (SOWs), software-as-a-service (SaaS) contracts, Service Level Agreements (SLAs), and licensing agreements.

Focus primarily on revenue-generating contracts for ReSource Proβs Technology Services.

Own responsibility for the entire lifecycle of revenue-generating contracts for ReSource Proβs Insurance Solutions products, as well as vendor-facing agreements.

Evaluate and resolve issues/questions, consulting with relevant business leaders/stakeholders and escalating complex issues to the Associate General Counsel.

Assist Associate General Counsel and General Counsel in developing new and non-standard agreements.

Manage multiple agreement iterations and make final language determinations for non-standard agreements.

Collaborate with business stakeholders to develop contracts that meet client needs while maintaining the integrity of ReSource Proβs interests.

Risk Management

Identify and assess potential legal risks associated with all assignments and projects.

Provide recommendations on risk mitigation.

Escalate risk-related issues to the Associate General Counsel and/or SVP, General Counsel as appropriate.

Legal Research

Stay abreast of relevant laws and regulations.

Perform legal research as assigned by Associate General Counsel or SVP, General Counsel.

Perform a variety of legal assignments requiring the study and analysis of complex legal questions, problems, or cases.
Qualifications
-
JD from an accredited law school and membership in good standing of any United States state bar.

5-6 years of experience in law (firm, corporate, or both) required.

Knowledge and understanding of corporate law.

Ability to understand laws and draft contracts related to delivery of services and products.

Receives general supervision during initial and final stages of assignments but conducts work with relative independence.

Demonstrated ability to simultaneously handle high-level and strategic aspects of multiple legal matters at different stages of progression, from inception to conclusion.

Demonstrated competencies in Microsoft Office Suite and legal researching platforms (LexisNexis) required.

Experience with AI and contract management software a plus.

Strong analytical, communication, drafting, and negotiation skills.

Demonstrated organizational and project management skills.

Strong work ethic with a "can do" attitude.

Self-starter, quick study.

Experience interfacing with a wide variety of key stakeholders; a strong collaborator and team-oriented.
