The Assistant General CounselβCorporate Law is responsible for providing comprehensive legal support to the organization. This includes:

Contract negotiations

Corporate governance

Corporate structure

Regulatory compliance

M&A support
This role requires a team player with a practical commercial approach to risk management, a strong work ethic, and a desire to lead a broad spectrum of legal projects. It also involves:

Working on various legal projects including process optimization, template governance, and M&A integration

Developing negotiation strategies with internal business partners
-
Evaluating risk exposure and making recommendations to business partners
This is a remote position open to candidates anywhere in the US.
Responsibilities Include:

Draft, review, and negotiate a broad variety of contracts, including technology-related agreements, product supply agreements, customer contracts, bid documents, and service agreements.

Advise and provide solutions to internal business clients.

Provide legal advice regarding contract disputes, corporate governance, AI, and compliance matters.

Work with leaders in Sales, Supply Chain, Merchandising, and other internal personnel to identify and mitigate risks.

Maintain streamlined, organized, and efficient policies and procedures for contracts.

Work effectively with senior management to create strong trusted advisor relationships with business leaders.

Recruit and manage a team of contract specialists.
Qualifications
-
J.D. from an accredited law school
-
Active state bar membership
-
5-15+ years of corporate/commercial law experience
-
Significant experience negotiating procurement, distribution, logistics, customer, and/or supplier agreements
-
Strong background in corporate governance, corporate structures, and entity management
-
Experience implementing and managing legal technology solutions, including CLM and AI platforms or add-ons
-
In-house and M&A experience preferred
Requirements

Expert knowledge of commercial contract law, procurement agreements, supplier contracts, bid processes, and distribution arrangements

Demonstrated ability to draft, negotiate, and administer complex commercial agreements

Strong understanding of supply chain operations, sourcing strategies, inventory management, logistics, warehousing, and distribution networks

Expertise in identifying, assessing, and mitigating legal and business risks
-
Working knowledge of corporate governance principles, M&A issues, real estate matters, data privacy laws, and regulatory compliance requirements

Strong project management capabilities and ability to manage multiple high-priority matters in a fast-paced environment

Proven ability to support acquisitions, integrations, and organizational growth initiatives
