Role Description
We are seeking a highly driven and adaptable Corporate Counsel to oversee Archive's legal and compliance function. In this role, you will be responsible for ensuring legal compliance, managing contracts, mitigating risks, and providing strategic legal advice to support Archive’s growth. This is an exciting opportunity to shape the legal foundation of a rapidly scaling company at the forefront of branded resale.

Legal Compliance:
- Ensure the company's operations and activities comply with all relevant laws and regulations in the US and all regions where Archive operates.
- Promote legal, compliance and risk management best practice throughout the company.
- Create, monitor, and update the Terms of Use and Privacy Policies across our white-labeled sites, as necessary.

Contract Management:
- Draft, review, and negotiate a wide range of contracts, including partnership agreements, vendor contracts, and licensing agreements.
- Work with Archive's brand-facing functions in brand negotiations.

Risk Management:
- Identify potential legal risks and develop strategies to mitigate them, providing proactive advice to the leadership team.
- Provide advice to Archive’s leaders and staff on a variety of legal topics that relate to our resale, ecommerce, consumer protections, privacy, tax, and other business relevant areas.

Corporate Governance:
- Advise on corporate governance matters, including board meetings, corporate policies, and compliance with corporate laws.
- Identify and work with external counsel to support expansion into new geographies, determining the legal and registration requirements to set up and conduct business abroad.

Intellectual Property:
- Manage and protect the company's intellectual property portfolio, including trademarks, patents, and copyrights.

Employment Law:
- Provide guidance on employment-related legal issues, including hiring practices, employee relations, and compliance with labor laws.

Dispute Resolution:
- Oversee and manage any litigation or disputes involving the company, working with external counsel, as necessary.
Qualifications
- 4-7 years proven legal experience in a business environment, such as working within a law firm or a corporation, preferably with experience in technology.
- Experience with local and international privacy laws and regulations in the context of technology and/or e-commerce companies, including GDPR, CCPA, etc.
- Prior experience at a growing startup is a plus.
- BSc degree in Law or J.D. degree.
- Strong record of providing solution-focused advice.
Requirements
- Excited about joining an early-stage team and building out Archive's legal function.
- A leader, but willing to get into the nitty-gritty and do whatever is important to the company.
- Ability to react with appropriate urgency to matters which require a quick turnaround.
- Strong analytical skills with the ability to assess complex legal issues and provide practical solutions.
- Work well with cross-functional teams, providing legal guidance that supports business objectives.
- Take initiative and can work independently, managing multiple projects simultaneously.
- Mission-driven and love the fact that the better we do as a company, the less waste we’ll see in the world.
Benefits
- The expected annual base salary range for this position is between $160K and $210K.
- Compensation varies based on a variety of factors which include role level, skills and competencies, qualifications, knowledge, and experience.
- In addition to base pay, certain roles are eligible for equity as well.
- All employees are eligible for a full benefits package including employee and dependent healthcare and 401(k) enrollment.
- Remote-first team with an office in NYC and optional in-person work for those located in the area.
- Company offsites twice a year to bring the full team together in person.
- Occasional travel is expected as part of the job.
