[Hiring] Private Equity & Investment Funds Attorney @24-MAG

Role Description

We are sharing a specialised consulting opportunity for experienced attorneys with deep expertise in private equity, investment funds, M&A, asset management, transactional documentation, contract drafting, and complex legal risk analysis to contribute to an advanced AI training and legal-document evaluation project. Selected professionals will review and annotate sophisticated transactional agreements, analyse contractual risk, draft sample provisions, assess AI-generated legal content, and provide structured legal feedback across private equity, investment funds, banking, technology transactions, data privacy, cybersecurity, and related corporate matters. No prior experience in AI is required.

Key Responsibilities

• Private Equity, Funds & Transactional Review
  • Review private-equity, investment-fund, M&A, and asset-management matters
  • Analyse MSAs, SPAs/APAs, LPAs, DPAs, side letters, NDAs, and related transactional documents
  • Assess fund structures, investor documentation, contractual relationships, and risk allocation
  • Review representations, warranties, covenants, indemnities, closing provisions, and other material deal terms
  • Identify unusual, ambiguous, inconsistent, or high-risk provisions
• Contract Drafting & Specialist Agreements
  • Draft sample provisions and alternative contractual language
  • Analyse negotiation positions and compare alternative drafting approaches
  • Review credit agreements, SaaS and cloud-services contracts, technology licences, leases, employment agreements, and other commercial documents
  • Evaluate privacy, cybersecurity, IP, data-handling, and technology-related provisions
  • Identify legal and commercial issues requiring clarification, revision, or escalation
• AI Legal Evaluation & Analysis
  • Review AI-generated legal analysis, clauses, summaries, and contractual interpretations
  • Annotate legal documents for model-training and evaluation workflows
  • Identify inaccurate reasoning, unsupported conclusions, or drafting weaknesses
  • Produce clear legal commentary distinguishing material risks from minor drafting issues
  • Collaborate with other legal professionals to support consistent evaluation criteria and quality standards

Qualifications

• JD from an accredited law school is strongly preferred
• LLM may be considered with exceptional directly relevant experience
• 8+ years of experience in private equity, investment funds, M&A, asset management, or related transactional practice
• Significant responsibility for complex commercial and transactional agreements
• Strong expertise with MSAs, SPAs/APAs, LPAs, DPAs, side letters, and NDAs
• Strong contract drafting, negotiation, and legal risk-assessment skills
• Experience with banking and finance documentation
• Familiarity with SaaS, cloud-services, technology, IP, privacy, and cybersecurity agreements
• Exceptional legal writing, analytical ability, and attention to detail
• Ability to explain complex transactional concepts clearly
• No prior AI-training or model-evaluation experience is required

Engagement Details

• Independent contractor engagement
• Fully remote
• Compensation: $90–$130/hour
• Work will involve private equity, investment funds, M&A, transactional document review, contract drafting, legal annotation, banking agreements, technology transactions, data privacy, cybersecurity, and AI-generated legal-content evaluation
• Assignments may involve MSAs, SPAs/APAs, LPAs, DPAs, side letters, NDAs, credit agreements, SaaS agreements, leases, employment agreements, and IP or technology licences
• Project scope, workload, document types, and legal subject areas may evolve depending on project requirements
• Work must be completed without using confidential, privileged, proprietary, client-identifiable, deal-sensitive, non-public, or otherwise restricted information belonging to any client, law firm, investment fund, financial institution, employer, transaction, or other third party
