Role Description
dotCMS is a visual, headless CMS built for compliance-led enterprises that need to manage and scale digital content across brands, regions, and channels. We are looking for a hands-on, business-oriented Legal Manager to support dotCMS's commercial operations and broader legal needs. This role will play a key part in:
-
Streamlining contract processes
-
Supporting customer negotiations
-
Helping our Revenue and Customer Experience teams move deals and renewals forward efficiently
The ideal candidate combines strong commercial contract expertise with practical business judgment, balancing legal risk with the need to operate quickly in a growing B2B SaaS company. This is an individual contributor role with significant cross-functional exposure and ownership.
We're proud to be 100% remote! You can work from anywhere with availability during standard U.S. business hours (unless otherwise specified). This is a contractor position. Please note that we are unable to sponsor or take over sponsorship of an employment visa at this time.
Qualifications
-
3+ years of relevant experience in commercial contracts, preferably within B2B SaaS, technology, or software companies.
-
Law degree or equivalent legal qualification, with the ability to provide legal advice within the scope of applicable professional requirements.
-
Strong experience drafting, reviewing, and negotiating SaaS agreements, MSAs, NDAs, and related commercial contracts.
-
Solid understanding of commercial contracting risks, including liability, indemnification, intellectual property, data protection, and termination provisions.
-
Experience working directly with Sales, Revenue Operations, Customer Success, or executive leadership.
-
Strong written and verbal English communication skills, including the ability to explain complex legal concepts clearly.
-
Comfortable working independently, managing competing priorities, and operating in a fast-paced, lean environment.
-
Practical, solutions-oriented judgment with a strong understanding of business priorities.
Requirements
-
Draft, review, and negotiate customer agreements, including MSAs, SaaS subscription agreements, renewals, amendments, NDAs, and other commercial contracts.
-
Partner with Revenue and Customer Experience teams to resolve contractual issues and support timely deal execution.
-
Review customer-requested redlines, identify material risks, and recommend practical solutions that protect the company's interests.
-
Support complex negotiations, including liability, indemnification, termination, data protection, and other key contractual provisions.
-
Ensure consistency with company contracting standards while maintaining flexibility to address legitimate business needs.
-
Provide legal support throughout the customer renewal process, particularly when agreements require amendments, renegotiation, or additional legal review.
-
Partner with TAMs, Client Partners, and the Renewal Manager to address contractual blockers and keep renewals moving forward.
-
Establish clear guidelines for standard versus nonstandard contractual terms, reducing unnecessary escalations.
-
Support the development and maintenance of standardized templates, clauses, and negotiation playbooks.
-
Review and advise on vendor agreements, partnership agreements, and other business contracts as needed.
-
Support legal and contractual compliance requirements relevant to the company's operations.
-
Collaborate with Security and other internal stakeholders on data privacy, security, and contractual compliance matters.
-
Coordinate with external legal counsel when specialized expertise or jurisdiction-specific advice is required.
-
Identify emerging legal risks and recommend proportionate, business-oriented mitigation strategies.
Benefits
-
Competitive compensation that allows you to make a great living for yourself and your loved ones.
-
Annual company-paid training and development to our team members.
-
Open PTO policy (after the first 90 days in the company) and a generous number of local company-paid holidays.
