Role Description
The Governance & Securities Specialist, United States provides execution-focused support for United States public company governance, corporate affairs, Securities and Exchange Commission/NASDAQ compliance, Board/committee administration, entity management, and securities workflows. This new role supports senior governance and securities lawyers by managing deadlines, documentation, filings support, Diligent/Workiva platform administration, compliance calendars, and issue escalation for Telix's dual-listed (Australian Securities Exchange/NASDAQ) governance requirements. This is a governance execution role for a sophisticated non-lawyer or paralegal professional who can manage regulatory calendars, filings support, board materials, entity records, and issue escalation in a dual-listed public company environment.
-
Support United States entity registers, state filings, registered agent relationships, Board/committee materials, resolutions, minutes, and governance records.
-
Assist with Securities and Exchange Commission/NASDAQ compliance calendars, Workiva filing processes, Section 16 filings, proxy statement support, and annual report preparation as applicable.
-
Maintain Diligent board portal materials and coordinate accurate governance records and documentation.
-
Support investor-related governance documentation, earnings-related materials, and capital markets administrative processes.
-
Issue-spot governance risks and escalate promptly to Senior Counsel, Corporate Affairs & Securities, or the Assistant Company Secretary.
-
Support policies, charters, delegation authorities, subsidiary governance, governance audits, and environmental/social/governance sustainability disclosure processes.
-
Coordinate with the Australia-based Legal Governance & Operations Specialist on dual-listed governance workflows and cross-jurisdictional governance calendars.
-
Help free senior governance and securities lawyers for strategic work by owning reliable execution of U.S. governance workflows, documentation, compliance calendars, and filings support.
-
Coordinate closely with the Australia-based governance specialist because dual listing creates two jurisdictions, two regulatory calendars, and a need for disciplined handoffs.
