Role Description
The Associate General Counsel is responsible for assisting the General Counsel & Compliance Officer with corporate strategic and tactical legal initiatives in the employee benefits industry. The Associate General Counsel assists the General Counsel & Compliance Officer with providing guidance to senior management and with managing the legal function in general.

Directly involved with complex business transactions in negotiating critical contracts.

Assists with ongoing activities related to the development, implementation, maintenance, and adherence to the organizationβs policies and procedures covering privacy, access, and patient health information.

Participates in the definition and development of corporate policies, procedures, and programs.

Drafts various contracts and amendments based on templates provided by the General Counsel & Compliance Officer.

Assists with creating new contracts and templates for new business arrangements, programs, and offerings.

Addresses requested contract edits to healthcare-related contracts, including non-disclosure agreements and services agreements.

Ensures compliance with applicable laws and regulations, including licensing and reporting requirements.

Works with Legal and Compliance Assistant to ensure contracts are prepared and sent to clients.

Manages and tracks regulatory matters affecting the organization.

Educates staff on regulatory matters and legislative changes.
-
Assists with drafting settlement agreements and negotiating settlement matters.

Corresponds with administrative and regulatory bodies.

Works with the legal/compliance team on internal and external audits.

Responds to and assesses reported HIPAA violations.
-
Ensures appropriate privacy and confidentiality consent forms are maintained.

Oversees delivery of initial and privacy training to all relevant personnel.

Participates in compliance monitoring of trading partner and business associate agreements.

Establishes mechanisms to track access to protected health information.

Administers a process for receiving, documenting, and investigating complaints concerning privacy policies.

Ensures compliance with privacy practices and consistent application of sanctions.

Reviews system-related information security plans for alignment with privacy practices.

Maintains current knowledge of applicable Federal and state privacy laws.

Serves as information privacy consultant to the organization.

Assists with projects and other duties as assigned.

Abides by all obligations under HIPAA related to Protected Health Information (PHI).

Reports any discovered HIPAA violations to the Compliance Officer and/or Human Resources.

Completes required HIPAA Training offered by the company.

Requirements
-
Juris Doctor degree.
-
Active license to practice law in the US.

Knowledge and experience in information privacy laws and health information management.

Proven experience as a legal counsel in a business environment.
