Role Description
We are seeking an experienced, highly independent individual to join the Office of the General Counsel as a Vice President, Associate General Counsel. This person will provide legal expertise for Girl Scout Cookiesβ supply chain and E-commerce operations, negotiate key commercial agreements, advise on regulatory and operational matters, and mitigate legal and commercial risks. Manage commercial disputes and litigation; direct outside counsel and ensure efficient resolution.
This role partners closely with business leaders to support transformational initiatives, oversee outside counsel, ensure legal documents reflect best practices, and strengthen collaboration across supply chain, retail, and E-commerce teams.
Essential Responsibilities

Lead and independently negotiate, draft, execute and close critical commercial projects that support Girl Scout Cookies and its complex supply chain, including vendor, supplier, logistics, shipping, distribution, payment processors/providers and E-commerce/retail operations.

Advise on supply chain operations, compliance, regulatory requirements, and supplier relationships.

Provide subject matter guidance to all levels of the business on operational and strategic decisions, work with leadership on transformational transactional objectives.

Provide practical, business-oriented legal advice and counsel to identify, assess, and mitigate legal and commercial risks as needed.

Review and monitor regulatory development around food/regulatory law and E-commerce compliance, consumer protections regulations, omni and website channel experiences.

Work with Girl Scout Cookie and Retail/E-commerce team to enhance collaboration among business team, compliance, and innovation teams.

Responsible for managing and overseeing outside counsel in connection with related matters.

Ensure that standard legal documents are updated from time to time to reflect best practices and provide expert guidance.
Required Competencies

Extensive experience in drafting and negotiating commercial agreements and related documents customary in supply chain and procurement transactions, including transactional, vendor, supplier, logistics, distribution, and services agreements from start to finish with limited supervision.

Displays excellent written and verbal communication skills.

Experience analyzing, interpreting, and clearly communicating legal strategies and requirements to/for non-lawyer colleagues.

Strong understanding of legal risks in food-related operations and contracting and retail law experience.

Ability to integrate and balance priorities for the benefit of multiple internal clients.

Ability to understand key drivers of the supply chain function.

Ability to lead cross functional projects/teams to impact long-term legal strategies.

Ability to work independently, make decisions, and exercise independent judgment with respect to highly complex projects, contracts, and transactions in a fast-paced environment with tight deadlines.
Required Technical Skills

Office 365 or similar suites.

Competency in PowerPoint or similar presentation software.

You Need

J.D. and active bar license (New York or other U.S. state of employment).

A minimum of 7 years of relevant experience in the practice of law having a combination of law firm and in-house experience.

5 plus years of experience in commercial contracting, procurement, supply-chain, or related industries including at least 2 years of CPG experience, including co-manufacturing agreements and labeling reviews.

Skilled in drafting/negotiating vendor/supplier agreements (preference for food experience), purchase orders, manufacturing/distribution contracts, NDAs, MSAs, service agreements, logistics/trade-compliance matters, risk assessment/mitigation, and coordinating with operations/procurement teams.

Preference for FDA regulatory experience, specifically in food labeling, ingredient statements, allergen disclosures, claims review, and compliance obligations applicable to packaged food.
SALARY RANGE
$165,000 - $200,000. This represents the present low and high end of the pay range for this position. This pay range is only applicable to NYC Metro-based employees, on a hybrid schedule. Actual pay will vary based on various factors, including but not limited to experience.

WORK ENVIRONMENT
This is a remote position.
POSITION TYPE / EXPECTED HOURS OF WORK
This is a remote, full-time position. Days of work are Monday through Friday. Occasional evening and weekend work may be required as job duties demand.
