Role Description
We are seeking an experienced and strategic senior legal leader to lead key aspects of our global corporate legal function. This role will play a critical part in ensuring compliance with corporate laws and regulations, managing cross-border mergers and acquisitions, overseeing domestic and international corporate governance, and maintaining corporate legal compliance. This role reports to the EVP, Chief Legal and Compliance Officer, and Corporate Secretary.

Lead and manage the global corporate legal function of legal professionals.

Ensure compliance with corporate laws and regulations related to Dayforceβs global operations.

Oversee and manage cross-border mergers, acquisitions, and dispositions.

Provide guidance on domestic and international corporate governance.

Intellectual property

Public sector

Subsidiary management

Treasury

Records management

Anti-bribery & corruption

Legacy environmental remediation
-
Collaborate with senior management and other departments to support strategic initiatives.

Advise on legal risks and opportunities related to business operations.

Develop and implement policies and procedures to ensure global legal and regulatory compliance.

Serve as a member of the Legal leadership team.
Qualifications
-
Must be an attorney with a Juris Doctor (JD) or similar degree from an accredited law school and active admission to practice law in at least one jurisdiction.

12+ years of legal experience, with substantial in-house experience in a legal department of a large, multi-national company.

Proven experience in managing cross-border mergers, acquisitions, and dispositions, and other strategic transactions.

Strong understanding of U.S. and international corporate governance.

Sanctions compliance

Extensive secretarial experience working with Boards of Directors.

Demonstrated success leading and developing teams of attorneys, compliance professionals, and other cross-functional legal staff.

Ability to interpret legal and regulatory requirements in complex or evolving areas and provide concise, business-focused advice.

Excellent judgment, communication, relationship-building, and problem-solving skills.
Requirements

Experience in the human capital management technology industry.

Previous experience in a senior legal role within an S&P 500 company.

Prior experience supporting legal compliance in a technology or SaaS-driven environment.

Demonstrated ability to lead legal initiatives related to transformational transactions.

Familiarity with multi-jurisdictional compliance and how to manage overlapping requirements.
