Role Description

We are sharing a specialised remote consulting opportunity for experienced Venture Capital & Corporate Attorneys with deep expertise in venture capital financing, corporate transactions, investment documentation, corporate governance, and startup legal advisory to contribute their professional knowledge to advanced AI training and evaluation initiatives. Selected professionals will analyse complex corporate transactions, review investment agreements, develop realistic legal scenarios, and evaluate AI-generated legal content across venture capital and corporate law. The work combines transactional legal expertise with structured research, document analysis, regulatory interpretation, and quality assessment to help improve the accuracy, reasoning, and reliability of AI systems operating in sophisticated legal and commercial environments. Prior AI experience is not required.

Key Responsibilities

• Venture Capital & Corporate Transaction Analysis
  • Review and analyse complex venture capital financings, corporate transactions, and investment structures
  • Evaluate legal considerations relating to startup financing, equity investments, acquisitions, and corporate restructuring
  • Examine transaction terms, investor rights, corporate obligations, and strategic business considerations
  • Assess legal and commercial implications of proposed investment arrangements and corporate transactions
  • Apply professional legal judgement to identify material transactional issues, legal distinctions, and structuring considerations
• Investment Documentation & Legal Drafting
  • Review, draft, and evaluate term sheets, share purchase agreements, convertible notes, and related investment documentation
  • Analyse contractual provisions governing valuation, ownership, investor protections, and financing obligations
  • Assess the clarity, enforceability, and commercial implications of investment and corporate agreements
  • Develop realistic contractual examples reflecting venture capital negotiations and corporate financing transactions
  • Provide detailed legal commentary on drafting quality, transaction structure, and contractual interpretation
• Corporate Governance & Regulatory Compliance
  • Evaluate corporate governance arrangements involving founders, shareholders, boards of directors, and institutional investors
  • Analyse legal issues relating to fiduciary duties, shareholder rights, governance processes, and corporate decision-making
  • Identify regulatory and compliance considerations arising in venture capital investments and corporate transactions
  • Examine relevant corporate law principles and securities regulatory requirements within realistic transactional scenarios
  • Apply knowledge of cross-border investment structures and international regulatory considerations where relevant
• AI Training & Legal Content Evaluation
  • Develop realistic legal questions, transactional scenarios, and case studies for specialised AI training activities
  • Review and validate AI-generated legal analyses, contractual explanations, and transactional recommendations
  • Identify inaccuracies, incomplete legal reasoning, and areas requiring greater contractual or regulatory precision
  • Translate complex venture capital and corporate law concepts into clear, structured materials suitable for AI evaluation
  • Provide constructive written feedback to improve the quality, accuracy, and professional relevance of AI-generated legal content
• Legal Research & Cross-Functional Collaboration
  • Conduct structured legal research relating to venture capital financing, corporate transactions, and governance practices
  • Summarise complex legal concepts, transaction processes, and regulatory considerations for diverse audiences
  • Produce clear legal analyses, document annotations, research summaries, and evaluation feedback
  • Collaborate asynchronously with project managers and other contributors through remote communication platforms
  • Support consistent quality standards, accurate legal interpretation, and effective delivery of specialised research assignments

Qualifications

• Juris Doctor (JD) degree and active bar membership in at least one jurisdiction are preferred
• Extensive professional experience in venture capital financing, corporate transactions, or startup legal advisory, ideally 7+ years
• Deep understanding of venture capital investment structures, equity financing, corporate governance, and transactional legal processes
• Demonstrated experience drafting, reviewing, and negotiating term sheets, share purchase agreements, convertible notes, and related corporate documents
• Strong knowledge of legal considerations affecting startups, founders, venture capital investors, and established corporations
• Practical experience advising on financing rounds, investment agreements, shareholder arrangements, or strategic corporate transactions
• Ability to evaluate complex legal documentation and identify nuanced contractual, commercial, and regulatory issues
• Strong legal research, transactional analysis, negotiation, and problem-solving capabilities
• Excellent written and verbal communication skills, including the ability to explain sophisticated legal concepts clearly
• Exceptional attention to detail and the ability to provide precise, structured legal feedback
• Familiarity with international corporate law, cross-border investments, and global regulatory frameworks is advantageous
• Experience collaborating in remote, multidisciplinary, or technology-focused projects is beneficial
• Prior experience with AI training, model evaluation, or legal technology applications is not required
