Role Description

We are seeking experienced Structured Finance Attorneys to contribute specialized legal expertise to an AI training project. The role involves:

• Reviewing complex financial transaction documents.
• Analyzing structured finance legal frameworks.
• Evaluating AI-generated content to ensure legal accuracy and alignment with industry standards.

Prior AI experience is not required.

Qualifications

• Juris Doctor (JD) or international equivalent, with active admission to practice law in at least one jurisdiction.
• Typically five or more years of experience advising on structured finance transactions, including drafting and negotiating transaction documents.
• Strong knowledge of securities laws, regulatory compliance frameworks, and relevant financial market regulations.
• Excellent legal research, analytical, and written and verbal communication skills.
• Experience reviewing prospectuses, term sheets, offering memoranda, and other financial transaction documents.
• Ability to explain complex legal and financial concepts clearly for diverse audiences and technology applications.
• Strong attention to detail and the ability to work independently in a remote environment.

Requirements

• Review, analyze, and annotate legal contracts and transaction documents related to asset-backed securities (ABS), mortgage-backed securities (MBS), collateralized debt obligations (CDOs), and other structured finance products.
• Draft, review, and evaluate sample legal documents, contractual clauses, and transaction frameworks.
• Assess hypothetical legal scenarios and AI-generated content for accuracy, clarity, and legal sufficiency.
• Explain structured finance terminology, regulatory requirements, and common transaction structures.
• Contribute to training datasets that reflect current legal standards and best practices in structured finance.
• Collaborate remotely with project coordinators and subject matter experts to maintain high-quality legal content.
• Provide insights into evolving market practices, common transaction risks, and regulatory developments.
