Role Description
CrowdStrike is looking for a highly motivated attorney with extensive experience in executive compensation and equity matters to join our expanding corporate legal team. This individual will be a key liaison between the corporate legal, employment legal and HR functions and play a leading role in a wide range of workstreams, including in connection with CrowdStrike’s M&A transactions, compensation-related disclosures and equity incentive matters. This position is open to candidates remotely in the USA.
What You'll Do

Lead compensation and equity-related workstreams for M&A transactions, partnering closely with employment legal, HR and other teams to negotiate and drive alignment on key deal documents, manage due diligence, administer post-closing holdback arrangements and more.

Advise on compensation-related disclosures and corporate governance matters, including in connection with CrowdStrike’s proxy statement filings and annual meeting of stockholders.

Drive legal workstreams relating to CrowdStrike’s equity plans, including matters relating to ongoing plan maintenance, international expansion and the preparation of performance award agreements.

Lead preparation and filing of registration statements on Form S-8 and support other filing workstreams as needed.

Advise on insider trading compliance and Rule 10b5-1 trading plan review and administration.

Serve as primary legal point of contact for CrowdStrike’s stock administration function.

Assist with compensation design, administration and compliance as needed.
Qualifications

J.D. and bar admitted with 7-10 years of relevant experience at a top-tier law firm and/or in-house at a public company.

Deep technical expertise in executive compensation and global equity programs and associated M&A, disclosure and compliance workstreams.

Meaningful experience working on complex cross-border M&A transactions.

Collaborative and proactive mindset with a “no task too big or too small” attitude.

Excellent interpersonal skills, with a proven ability to establish strong working relationships and drive alignment across a broad range of internal stakeholders with competing priorities.

Outstanding organizational skills, with the ability to manage and prioritize amongst multiple high-stakes projects (e.g., M&A and proxy statement preparation) in an intense, fast-paced environment.

Strong judgment and ability to balance legal risk with business needs.

Exceptional communication and presentation skills, with the ability to distill complex concepts into clear, actionable advice for various legal and non-legal stakeholders.
