Role Description
Help IAVI advance groundbreaking research and global health impact as a Senior Counsel Consultant! IAVI is seeking an experienced legal counsel consultant for a 6-month consulting engagement to provide strategic counsel in support of research, clinical development, and partnership activities across the organization. In this role, the consultant will work closely with scientific, business, and operational leaders to negotiate complex agreements, advise on legal and regulatory matters, and support innovative collaborations that advance IAVI's global health mission.
Key Responsibilities

Transactions
-
Provide legal support to IAVI’s R&D programs, including interactions with research laboratories, pre-clinical and clinical translational development activities (e.g., CDAs, MTAs, research agreements, clinical trial agreements, collaboration agreements, license agreements, etc.), product development collaborations.

Draft, review and negotiate contracts with partner organizations (pharma and biotech companies, universities, NGOs and government agencies), and provide business-focused legal advice.

Provide initial draft composition of sensitive communications to key stakeholders.

Corporate Compliance
-
Tracking domestic IAVI Inc. compliance for State filings and for discrete local filings.

Tracking affiliate compliance related to IAVI affiliates.

Board support for IAVI affiliates.

Manage and coordinate with subject matter experts, insurers and external counsel to obtain timely and adequate guidance.

Internal Engagement

Work in a coordinated and integrated fashion within IAVI’s General Counsel’s Office, and with the Business Development and intellectual property management functions, to support IAVI’s R&D programs.

Provide advice on legal/business/strategical approach to resolve complex contract disputes.

Provide guidance and professional development to peer and junior team members.

Identify legal and process improvements to implement best practices, increase efficiencies and mitigate risks.

Advise on content and implementation of new SOPs and policies.

Provide support to regulatory and quality activities and functions.

Perform other tasks as assigned by Deputy General Counsel.

Perform other tasks as assigned by the manager.
Qualifications

JD degree and bar admission is required.

Minimum of 5 years of work experience in legal and compliance is required.
Requirements

Transactional experience, including contracts and intellectual property issues relating to pre-clinical and clinical research activities and business development activities is required.

Project management, legal analysis, and contract drafting experience is required.
