Role Description

Legal provides the company with strategic, proactive, practical and cost-effective legal advice and services in order to protect the organization's assets, operations and image. This function provides legal counsel related to commercial, corporate securities, intellectual property, labor and employment, and regulatory law, among other areas. This function also litigates all company legal matters, manages outside counsel and manages legal operations.

Commercial Transaction provides legal advice, counsel and services to domestic and international businesses in support of customer, vendor, supplier, and strategic relationships, including:

• Drafting and negotiating contracts
• Participating in and providing input on business strategy
• Acting as primary day-to-day legal contacts for business clients

The Senior Legal Counsel serves as the primary legal partner to leaders of a division within a business unit, providing counsel on legal issues and risk mitigation guidance. This includes:

• Drafting and negotiating commercial contracts with external parties
• Protecting the business’ interests and ensuring compliance
• Liaising with various Legal and internal teams to resolve legal issues

Qualifications

• Law degree with a record of high academic achievement in the undergraduate level and in law school
• License to practice law
• At least 5 years of experience in a large complex organization or nationally recognized law firm preferred
• Commercial/transactional experience required; knowledge of healthcare law preferred
• Excellent oral and written communication skills; acute attention to detail
• Outstanding interpersonal skills, including diplomacy and flexibility
• Enthusiasm and "self-starter" qualities
• Business acumen with a well-developed understanding of business and commerce

• Identify opportunities for process improvements and efficiencies
• Work under the general supervision of senior attorneys
• Provide excellent client service and counsel assigned division leaders
• Meet with external parties to negotiate terms of agreements
• Review terms and revisions from external parties
• Review marketing and public relations communications for compliance
• Serve as a primary liaison and expert on the business in support of the Litigation team
• Proactively develop and maintain legal knowledge in specialized area(s)
