Role Description
The Senior Legal Counsel will be responsible for the contracts through which Decimal supplies data, technology and market infrastructure to customers, together with the rights, advisory and disputes work that sits outside compliance.

Combines commercial contracting, official data rights and intellectual property, technology and data protection law, and regulatory legal advice across multiple jurisdictions.

Reports into the Head of Legal within the Legal & Compliance team based in London.

Acts as the first point of legal contact for the Commercial, Product, Technology and Finance teams.

Supervises junior legal team members and external providers as the function grows.

No direct reports on appointment; position is hands-on.
Qualifications
-
Qualified solicitor in England and Wales, or in another common law jurisdiction with equivalent in-house experience.

4-6 PQE, gained in private practice and/or in-house.

Substantial experience drafting and negotiating technology, data or software licensing agreements independently, from first draft through to signature.

Experience advising a business that operates across multiple regulated jurisdictions.

Sound commercial judgement, including the ability to give a clear answer on risk and to recognise what genuinely needs to be escalated.

Experience in gambling, betting, gaming, sports data or sports rights.
Requirements

Lead the drafting and negotiation of commercial agreements for data, technology and market infrastructure.

Draft, negotiate and close data supply, software licence, SaaS, API and managed service agreements.

Negotiate reseller, distribution, integration, technology partner and supplier agreements.

Advise on commercial terms including pricing structures, minimum guarantees, revenue share, service levels, liability caps, indemnities, exclusivity and termination rights.

Negotiate information security obligations, audit rights and incident terms in contracts.

Build and own Decimal's template agreements, standard terms and negotiation playbooks.

Advise on and negotiate official data rights agreements with sports governing bodies, leagues, federations and other rights holders.

Ensure rights granted to customers remain within the scope of head rights agreements.

Advise on database rights, copyright, confidential information and contractual protections for sports data.

Protect proprietary pricing models, trading algorithms, exchange technology and software.

Advise on unauthorized use, scraping and redistribution of Decimal's data.

Support legal analysis for entry into regulated markets.

Advise on gambling, betting and gaming legislation in relevant jurisdictions.

Produce legal analysis for new market entry, including licensing requirements and restrictions.

Instruct and manage local counsel across multiple jurisdictions.

Ensure contracts allocate regulatory risk appropriately.

Advise on UK GDPR, EU GDPR and equivalent legislation.

Draft and negotiate data processing agreements and international transfer mechanisms.

Support response to personal data breaches.

Manage contractual disputes, debt recovery and regulatory challenges.

Support corporate matters including group structure and statutory filings.

Support corporate transactions, including due diligence and transaction documents.
