Role Description

ElevateNext is seeking a talented Mid-Level Corporate Attorney to support emerging and growth-stage businesses on a wide range of corporate matters. This role is ideal for an attorney who enjoys serving as a trusted business advisor, partnering with innovative companies, and handling sophisticated corporate transactions while leveraging technology to improve legal service delivery.

• Advise clients on corporate governance, entity formation, and organizational structuring.
• Draft, review, and negotiate a variety of corporate and commercial agreements.
• Support capitalization, equity, financing, and investment-related transactions.
• Counsel growth-oriented businesses on day-to-day corporate legal matters.
• Assist with mergers, acquisitions, strategic transactions, and corporate restructurings.
• Advise Delaware corporations and LLCs regarding governance and compliance matters.
• Collaborate with business stakeholders to provide practical, commercially focused legal guidance.
• Utilize legal technology and legal operations tools to improve efficiency and service delivery.
• Manage multiple matters independently while maintaining exceptional responsiveness and client service.

Qualifications

• J.D. from an accredited law school.
• Active U.S. bar membership with Arizona licensure or ability to waive into Arizona preferred.
• 5-7 years of corporate law experience.
• Strong experience with entity formation, governance, financings, and commercial contracts.
• Ability to independently manage legal matters and interact directly with business leaders.
• Excellent drafting, negotiation, and communication skills.
• Experience supporting technology, SaaS, startup, or high-growth companies is strongly preferred.

Requirements

• 5-7 years of corporate law experience, including entity formation and corporate governance.
• Strong drafting and negotiation experience with commercial and corporate agreements.
• Experience supporting financings, capitalization matters, and strategic corporate transactions.
