Role Description
The Commercial Paralegal supports the legal team by managing the full lifecycle of commercial agreements. This role blends contract drafting, review, negotiation support, and administrative support. The ideal candidate is detail-oriented, comfortable working in a fast-paced environment, and able to collaborate across departments.
The primary responsibilities of this position are to provide support to:

The Deputy General Counsel and Senior Counsel, Commercial related to drafting, negotiating, and tracking a wide variety of commercial contracts and related matters.

The Senior Counsel, Privacy & Technology related to data protection agreements and related contract documentation.
Responsibilities

Review, edit, and prepare a wide range of commercial agreements, including non-disclosure agreements, service agreements, transportation agreements, data protection agreements, real estate leases, scopes of work, and other vendor agreements.

Support attorneys during contract negotiations by identifying key terms, risks, and deviations from standard templates.

Draft legal documents and correspondence for review and approval by attorneys.

Manage the contract lifecycle from intake to execution, including tracking, version control, and ensuring timely approvals.

Maintain and update contract templates, clause libraries, playbooks, and contract repositories.

Conduct legal research, as needed.

Assist with due diligence, audits, and internal reporting related to contracts and vendor relationships.

Collaborate and coordinate with other members of the legal team, internal business stakeholders, and outside counsel, as needed.

Prepare materials for and assist with conducting employee trainings on contract policies and processes and other commercial topics.

Assist with special projects as needed and perform other duties as assigned.
Qualifications

Bachelorโs degree or equivalent experience.

Paralegal certificate preferred.

Experience supporting commercial contracting or corporate legal functions.

Experience working in the legal department of a publicly traded company preferred.
Requirements

Strong understanding of contract structure, legal terminology, and common commercial terms.

Experience with data protection agreements and/or familiarity with data privacy requirements (e.g., CCPA) a plus.

Strong verbal & written communication skills.

Strong organizational skills & attention to detail.

Ability to work both independently and as part of a team.

High work capacity with a focus on efficiency and agility.

Ability to manage multiple priorities and deadlines with little oversight.

Proficiency using Microsoft Office Suite, Adobe Acrobat, and DocuSign.

Experience with Cobblestone CLM (or other contract management software) a plus.
