Role Description
The Legal Counsel for Real Estate Financing & Corporate Ventures will be responsible for supporting the company's capital-raising activities, joint ventures, and structured financing transactions related to data center infrastructure. This attorney will work at the intersection of real estate, finance, and corporate law to support the company's growth objectives.
Key Responsibilities

Negotiate and document real estate financing transactions including construction loans, permanent debt facilities, sale-leaseback structures, and credit facilities secured by real property.

Advise on and structure joint ventures, co-investment arrangements, and partnership agreements with infrastructure investors and strategic partners.

Draft and negotiate term sheets, loan agreements, intercreditor agreements, security documents, and related financing instruments.

Support corporate venture activities including minority investments, strategic partnerships, and corporate development transactions with a real estate component.

Coordinate with Finance, Treasury, and Accounting on legal aspects of capital structure decisions and debt covenant compliance.

Work with external lenders, investors, and their counsel to close transactions efficiently and on favorable terms.

Manage external legal counsel for financing transactions, maintaining cost discipline and strategic alignment.

Maintain and update form financing documents, term sheet templates, and investor agreement playbooks.

Advise on securities law considerations in connection with investor outreach and deal structuring.

Support the General Counsel on board-level and investor reporting related to financing and venture activities.
Qualifications

J.D. from an accredited law school; admission to a U.S. state bar required.

6β10 years of experience in real estate finance, structured finance, or capital markets law.

Deep knowledge of secured lending, debt structuring, and real estate finance documentation.

Experience with joint venture formation, investor structuring, and partnership agreements.

Comfortable advising on complex, multi-party transactions with tight timelines.

Strong business orientation with the ability to engage strategically on deal structure and risk allocation.

Experience working with institutional lenders, private equity sponsors, or infrastructure investors preferred.

Experience at a major real estate or finance-focused law firm combined with in-house counsel experience (preferred).

Familiarity with data center, energy infrastructure, or technology real estate finance (preferred).

Knowledge of REIT structures, sale-leaseback transactions, or build-to-suit financing (preferred).

Experience supporting VC or growth equity financing transactions alongside real estate finance work (preferred).
Compensation
$140,000 - $170,000. Final compensation will vary depending on years of experience, background/skill set, location, and applicable laws.
