Role Description
We are looking for a Counsel to join our legal team and serve as a key legal partner across Dragonfly's investment activities and fund operations. This is a unique opportunity for a talented attorney to step out of BigLaw and into a high-impact, in-house role at the intersection of venture capital and crypto. You will work directly with senior members of the legal, investment and operations teams on a wide range of legal matters, including:

Structuring and executing venture and growth equity investments

Advising portfolio companies

Supporting general corporate needs
You'll have meaningful autonomy and ownership of your work from day one, with direct exposure to cutting-edge legal issues in the digital asset space.
Functional Responsibilities

Draft, review, and negotiate transaction documents for equity and token-based venture investments, including SAFEs, series seed to C rounds, growth equity and late-stage financings, token side letters and token warrants, and related agreements

Counseling investment team on legal and regulatory issues regarding investments

Draft and negotiate NDAs, MSAs, consulting agreements and other commercial contracts

Advise on structuring and execution of investments across a range of deal types, stages, and jurisdictions, including early-stage venture, growth equity, and late-stage transactions

Support the legal execution of growth equity and late-stage investments, including enhanced due diligence, deal structuring, and negotiation of definitive transaction agreements

Provide day-to-day legal support to the investment team on matters involving portfolio companies, co-investors, and counterparties

Assist with general corporate matters, including fund operations, entity management, governance, contract review, and regulatory analysis

Monitor and advise on developments in crypto-related regulation and legislation

Coordinate with external counsel as needed and manage outside legal engagements efficiently

Support fund formation, governance, and operations matters as they arise
Qualifications

Ability to work autonomously and cross-functionally in a fast-paced, remote-first environment with flexible availability across time zones

Fast learner and resourceful problem-solver who thrives on finding creative solutions to novel legal questions

J.D. from an accredited / top law school and active membership in good standing with at least one U.S. state bar

3β5 years of experience at a top-tier law firm, with a focus on venture capital, growth equity, emerging companies, startup financing, and/or general corporate transactional work

Experience advising VCs, growth equity funds, startups, or other participants in the venture ecosystem on financing rounds (including late-stage transactions) and corporate matters

Strong interest in or demonstrable passion for crypto, blockchain technology, crypto legal policy, and the broader digital asset ecosystem

Exceptional drafting, negotiation, communication, and analytical skills with meticulous attention to detail
Preferred

Direct experience or knowledge of crypto-native regulatory and legislative matters

Exposure to fund formation, LP relations, or fund-level operational legal work

Experience working in-house at a crypto company, fund, or other blockchain-native organization

Salary Range
The general salary range for this role is $250-300k, although we will pay commensurate to experience.
