Role Description
An established FCA-regulated asset management business is seeking an experienced Legal & Compliance Counsel to provide fractional legal and regulatory support to a small, lean team operating in an international environment. This is a genuinely varied commercial legal and FCA compliance role, ideal for a legally qualified professional who enjoys working independently, managing a broad remit and providing practical, commercially focused support without the structure of a large legal or compliance department.
The successful candidate will operate across two key areas: Legal and Compliance.

On the compliance side, support the day-to-day administration of the firm's FCA compliance framework.

On the legal side, provide generalist commercial legal support across contracts, transactions, external counsel coordination, and employment-related documentation.
Qualifications

Qualified lawyer / Legal Counsel with approximately 5+ years' PQE preferred.

Strong commercial and generalist legal experience.

Experience drafting and reviewing commercial contracts, NDAs, and vendor agreements.

Experience supporting transactions, deals, or commercial matters.

Experience with employment contract drafting.

Strong legal drafting, negotiation, and contract review skills.

Ability to understand and manage regulatory and compliance administration.

A willingness and ability to quickly learn FCA regulatory requirements and compliance processes.

Dedicated FCA compliance experience is not essential.

Asset management, financial services, ABS or sector-specific experience is not required.

Experience in any particular jurisdiction is not essential.

Private practice or buy-side in-house experience would be advantageous but is not essential.

Requirements

Manage and maintain day-to-day FCA compliance administration.

Maintain accurate and up-to-date compliance records and registers.

Maintain and monitor regulatory training records.
-
Administer Personal Account Dealing (PAD) declarations and related records.

Maintain Gifts & Entertainment Registers.

Assist with ongoing compliance monitoring and administration.

Support the implementation and maintenance of internal compliance procedures and controls.

Assist with regulatory documentation and compliance-related reporting.

Ensure compliance records are complete, accurate and maintained in accordance with internal requirements.

Work closely with and report into the accountable UK-based Compliance Function Holder.

Quickly develop an understanding of the firm's regulatory administration requirements and FCA compliance environment.

Identify and escalate compliance matters where appropriate.

Provide generalist commercial legal support to the business.

Draft, review and negotiate commercial contracts and agreements.

Draft and review Non-Disclosure Agreements (NDAs) and confidentiality agreements.

Review vendor and supplier contracts.

Provide legal input on commercial arrangements and business relationships.

Support deal-specific legal work and transactions.

Coordinate with and support external legal counsel where required.

Assist with the review, preparation and drafting of employment contracts.

Identify legal and contractual risks and provide practical, commercially focused advice.

Support the business with ad hoc legal matters as they arise.

Manage multiple legal and compliance matters efficiently within a fractional working arrangement.
