Role Description
We are seeking a seasoned In-House Legal Counsel to support and scale a global health technology business, with a primary focus on complex commercial and international contracts. This role will serve as a strategic legal partner to cross functional teams and will lead the negotiation and management of high value agreements across North America, EMEA, and APAC. The ideal candidate brings strong commercial judgment, deep contracting expertise, and the ability to operate independently in a fast‑paced, highly regulated environment.
Key Responsibilities

Global Commercial Contracts

Draft, review, and negotiate a wide range of complex global commercial agreements, including:

Master services agreements (MSAs)

Technology licensing and SaaS agreements

Strategic alliances and partnerships
-
Reseller, distributor, and channel agreements
-
Vendor, procurement, and supply agreements
-
Serve as lead legal advisor on contracts supporting revenue generating and operational initiatives.

Manage negotiations involving multinational counterparties, including contracts spanning APAC and EMEA jurisdictions.

Business & Strategic Support

Partner closely with Sales, Product, Finance, Procurement, Security, and Operations teams to structure and close commercial transactions.

Provide practical, risk balanced legal advice aligned with business objectives and timelines.

Support global expansion initiatives by identifying and addressing legal and contracting considerations early in the deal lifecycle.

Regulatory & Risk Management

Advise on legal risk in a regulated health technology environment, including data protection, confidentiality, and cross border data transfer requirements.

Ensure contracts are aligned with applicable health, privacy, and security standards (e.g., HIPAA, GDPR, and regional frameworks).

Coordinate with local counsel as needed for jurisdiction specific matters.

Process & Enablement

Develop and maintain contract templates, negotiation playbooks, and internal guidelines to improve efficiency and consistency.

Contribute to process improvements, including contract lifecycle management and internal stakeholder training.

Help scale legal operations while maintaining appropriate governance and risk controls.
Qualifications

Juris Doctor (JD) from an accredited law school and active bar membership in good standing.

7–10+ years of relevant legal experience, including substantial in‑house experience supporting commercial transactions.

Demonstrated expertise in global commercial contracting, including cross border agreements.

Experience supporting technology‑driven or health technology businesses.

Strong negotiation, drafting, and stakeholder management skills.

Ability to operate autonomously and manage multiple complex matters in parallel.
Preferred Qualifications

Experience negotiating contracts involving APAC and EMEA regions.

Familiarity with healthcare adjacent regulatory and data privacy frameworks.

Prior experience supporting sales organizations and enterprise‑level transactions.

Experience working in remote or distributed team environments.
