[Hiring] Deputy General Counsel @Red Cell Partners

Role Description

Red Cell is hiring a mission-driven Deputy General Counsel: Healthcare to lead legal work across our healthcare portfolio. This is a high-autonomy seat, reporting directly to the General Counsel, and working alongside and in coordination with other internal teams and outside advisors.

You’ll help make that possible by leading the regulatory, privacy, and commercial legal work that lets our healthcare companies move fast without getting it wrong. You’ll report directly to our General Counsel and lead the legal work for our healthcare companies, with ownership across almost everything we do.

• Work through HIPAA and data-flow analysis for new products.
• Negotiate BAAs or key commercial agreements for incubated companies.
• Pressure-test referral or compensation arrangements against the Anti-Kickback Statute and Stark.
• Own healthcare regulatory and privacy questions across the portfolio, including:
  • HIPAA and state health privacy laws
  • BAAs and health data use
  • Fraud and abuse (Anti-Kickback Statute, Stark, beneficiary inducement)
  • Telehealth and licensure
• Handle commercial contracting and corporate work for early-stage companies.
• Work at every level, from engineers to C-suite leaders.
• Own the legal outcomes for mission-critical healthcare companies.

Qualifications

• J.D. and currently licensed to practice and in good standing in your U.S. jurisdiction.
• 12+ years of healthcare legal experience, including substantial in-house time, with a demonstrated track record of running regulatory and commercial workstreams independently.
• At least 5 years working with health tech or digital healthcare companies, with direct responsibility for regulatory and privacy compliance.
• Experience managing and developing other lawyers, including setting priorities across a team and reviewing their work.
• Deep, hands-on command of HIPAA and state health privacy laws, BAAs and health data use, and healthcare fraud and abuse rules (Anti-Kickback Statute, Stark, beneficiary inducement).
• Sound, independent judgment under pressure.
• Team-oriented, high-energy, and proactive. You are someone who gets things done and makes the work better for everyone around them.

Requirements

• Experience drafting, reviewing, and negotiating a range of commercial contracts (e.g., vendor, SaaS, services).
• Familiarity with telehealth, clinical operations, reimbursement, or FDA-regulated products.
• Experience with venture financings, equity incentive plans, and sell-side M&A.
• Experience with venture studio or incubation models, or standing up a legal function at early-stage companies.
• Experience supporting venture-backed or high-growth startups.
• Experience using AI legal tech or other productivity tools.
