Role Description

Micro1 is seeking a corporate counsel to manage:

• Venture financings
• Corporate governance
• Equity administration
• Transaction closings
• Improving legal operations through AI and automation

Responsibilities include:

• Transaction documents and approvals
• Closing coordination
• Corporate records and filings
• Cap tables and equity grants
• Routine drafting
• Legal intake and reusable workflows

Qualifications

• Substantial experience with venture financings, M&A or comparable transactions
• Governance and equity administration
• Independent matter management
• Careful drafting and communication
• Sound escalation judgment
• Law-firm training and practical corporate experience
• Preferred experience includes a J.D. with three years supporting venture transactions across law-firm and in-house settings
• Experience with high-growth technology companies
• Legal-process automation

Requirements

• Full-time engagement
• Remote work option with the possibility to work from Micro1’s San Francisco office

Benefits

• Annual compensation of US$345,000–US$370,000
• National base-salary range of US$215,000–US$240,000
• Equity eligibility
• Possible performance bonuses
• Benefits under company policies
