Role Description
As Corporate Counsel, you'll be the second corporate attorney on Human Interest's Legal team, reporting to the Assistant General Counsel, Corporate & Commercial. You'll own a broad slate of corporate, securities, and governance matters as Human Interest scales, and you'll also pitch in on commercial contracting, incident management, and regulatory matters. This is a new seat on a growing team, so the scope below reflects what you'd be working on at the outset, but expect it to evolve along with the company and team.

Support corporate governance work for Human Interest Inc. and Human Interest Advisors as a primary function, including board and stockholder actions, subsidiary maintenance, and entity records.

Prepare and support board and committee materials; partner with the Finance team on board and committee preparation logistics, distribution, and tracking.

Manage the Legal portion of cap table and equity matters, including option grants, 409A coordination, executive compensation, and equity refresh cycles, partnering closely with the Finance and People teams.

Support corporate finance and transactional activity across various transaction types, including equity, secondary transactions, debt, convertibles, and other sophisticated financing arrangements.

Build and maintain the governance and transactional playbooks, templates, and processes that allow Legal to scale with the business.

Support IPO readiness activities.

Manage outside counsel on corporate and securities matters.

Lead negotiation and execution of commercial agreements, including NDAs, vendor agreements, data processing agreements, and other contracts as needed.

Support M&A and other strategic transactions as they arise.
Qualifications

You hold a J.D. from an ABA-accredited law school and are an active member in good standing of at least one U.S. state bar.

You have 4+ years of corporate and securities experience at a top-tier law firm, with at least one in-house role, preferably at a private, high-growth company.

You are experienced with a range of corporate transactions: equity, secondary transactions, debt, and other sophisticated financing arrangements.

You understand cap table mechanics, equity administration, and corporate governance for multi-entity structures.

Public company reporting and securities compliance experience is a plus.

You have owned and drafted and negotiated commercial contracts, including NDAs, vendor agreements, data processing agreements, and other transaction types.

You've integrated AI tools into your legal work and understand how AI should shape contracting, transaction management, and legal operations.

Experience in regulated industries (fintech, financial services, healthcare, or similar) is preferred.

You're based in the Pacific or Mountain time zone.

You're pragmatic and business-minded β risk-aware, not risk-averse β and communicate clearly with both legal and non-legal stakeholders.
