Role Description

Trustpoint.one has partnered with a highly regarded NYC-based boutique law firm comprised of former BigLaw attorneys in their search for a Part-Time Corporate Attorney to support the Firm's sophisticated transactional practice. This is an excellent opportunity for an attorney who enjoys hands-on deal work and is looking for a flexible, fully remote role with consistent work on an ongoing contract basis.

• Draft, review, and negotiate asset purchase agreements, acquisition agreements, and related transaction documents.
• Support M&A and corporate transactions from inception through closing.
• Work directly with seasoned attorneys on sophisticated middle-market and lower middle-market deals.
• Provide practical, business-focused legal guidance throughout the transaction process.

Qualifications

• Active bar license in the state in which you reside is mandatory.
• Significant experience drafting Asset Purchase Agreements (APAs) and/or acquisition agreements.
• Strong corporate transactional background, ideally including M&A, business acquisitions, and related commercial agreements.
• Ability to independently draft and revise complex transaction documents with minimal oversight.
• Excellent attention to detail and strong written communication skills.

Requirements

• Part-time: approximately 20-25 hours per week.
• Fully remote; candidates may reside in any U.S. state.
• Open-ended contract engagement.
• Opportunity to work with a sophisticated practice led by attorneys from leading Am Law/BigLaw firms.
• Actual drafting experience is the critical qualification for this role.
• Candidates should have substantial hands-on experience preparing and revising acquisition agreements and related transaction documents, rather than solely reviewing or managing deals.
