Role Description
Advocate Health seeks an experienced and proactive attorney to join the Advocate Health Legal Department as Associate General Counsel with a focus on Governance and Transactions. This position reports directly to the VP/Managing Counsel of the Governance and Transactions Practice Group within the Legal Department. The position will provide advice and counsel to the Advocate Health enterprise related to corporate and transactional activities including, but not limited to:

Corporate governance matters

Transactions (mergers, acquisitions, joint ventures, partnerships, affiliations, strategic collaborations)

Bond financings
-
Tax matters
-
Other strategic system initiatives

Clinical contracts and regulatory matters
Major Responsibilities:

Work effectively with the team of attorneys, paralegals and staff in the Governance and Transactions Practice Group and the broader Legal Department.

Execute legal or business projects requiring legal involvement with a moderate level of independence and oversight from more senior attorneys as needed.

Support and mentor peers, paralegals, and/or other Legal Department staff members.

Analyze legal and regulatory risks of the enterprise and offer practical, effective legal solutions that further the mission and business interests of the enterprise.

Deliver effective legal advice while protecting enterprise interests and mitigating legal and reputational risk, instilling a culture of responsibility and ethical behavior.

Contribute to material strategic imperatives of the Governance and Transactions Practice Group and Legal Department at the direction of the Practice Group leader and other senior Legal Department leadership.

Provide input and advice regarding the assessment and management of outside legal relationships and retain and oversee the performance of outside counsel as required at the direction of the Practice Group leader.

Assist the Practice Group leader in the management of the legal budget, including internal staff, outside counsel, and other expenditures related to the Practice Group.

Responsible for understanding and adhering to the enterprise Code of Conduct and ensuring that personal actions, and the actions of employees supervised, comply with the policies, regulations, and laws applicable to the enterprise's business.
Qualifications

Juris Doctorate degree from an accredited school of law.

Licensed to practice law in at least one state in the United States.

3-6 years of relevant experience in a corporate/transactional practice in a law firm or as in-house counsel with health law experience preferred.
Requirements

Attorney must be licensed and registered as required by applicable law.

Typically requires 2-6 years of experience providing legal services within a law firm or as in-house legal counsel.
