Role Description
We’re looking for a Senior Corporate Paralegal to own Anaconda’s corporate, equity, and entity operations as the company grows. You will be the go-to person for equity administration, subsidiary management, board and corporate records, and the company’s insurance program. You will also support our employment legal work and take on special projects wherever the business needs you. Your work will touch every part of the company: Finance, Tax, People, and the executive team.
Employees will come to you directly with questions about their equity, and you’ll help implement—and further develop—our playbook for those responses and for more of our corporate practices going forward. We want someone who operates independently, cares about getting details right, and fixes problems before anyone asks. No task is too big or too small for this person.
This is a chance to build and scale core legal infrastructure at a company at the center of AI.
Qualifications

6+ years of corporate paralegal experience, including meaningful time in-house at a venture-backed or high-growth technology company or at a law firm supporting emerging-growth companies.

Extensive, hands-on experience administering equity in Carta, including grants, exercises, terminations, and cap table maintenance.

Solid working knowledge of equity compensation, including stock option plans, ISOs and NSOs, RSUs, 409A valuations, and related tax and securities considerations.

Experience drafting board and stockholder consents and maintaining corporate records for multiple entities.

Experience managing subsidiary compliance, including international entities.

Exceptional attention to detail and a track record of producing accurate work under tight deadlines.

Strong written communication skills and comfort working directly with employees at every level on sensitive topics such as equity and compensation.

A self-starter mindset: you work independently, spot areas for improvement, and get to work without being asked.

A positive, team-first attitude and a willingness to take on any task, big or small.

Experience using AI tools in your day-to-day work, or a strong interest in adopting them.

Paralegal certificate and/or bachelor’s degree preferred.

Requirements

Manage the full equity lifecycle, including grant preparation and board approvals, award agreements, exercises, vesting, terminations, cancellations, and post-termination exercise tracking.

Partner closely with People, Finance, and Tax on equity matters, including grants, 409A valuation coordination, equity expense reporting, compliance, blue sky filings, equity reporting and disclosures, tax reporting and withholding, and year-end equity filings.

Act as the first point of contact for employee equity questions.

Support equity-related work for acquisitions and other corporate transactions.

Keep equity-related policies, processes, and templates current.

Own documentation and compliance for all Anaconda subsidiaries, domestic and international.

Maintain an accurate, centralized entity management system and organizational chart.

Draft board and stockholder consents, resolutions, and minutes for Anaconda, Inc. and its subsidiaries.

Help prepare board meetings, including materials, logistics, and follow-up on approvals and action items.

Manage the company’s insurance program end to end.

Support the Legal team and People team on employment matters.

Take on special projects across the Legal team and the broader business.

Proactively identify gaps, inefficiencies, and manual processes.

Use AI tools to speed up drafting, research, record-keeping, and recurring workflows.
