Role Description

A modern, fast-growing law firm is seeking a Senior Corporate Attorney to join its fully remote team serving high-growth startups, emerging companies, and modern businesses.

• Work directly with founders from formation through Series A and beyond.
• Lead venture financings, including:
  • SAFEs
  • Convertible notes
  • Preferred stock rounds
• Advise on startup structuring, founder equity, IP assignments, cap table planning, and corporate governance matters such as:
  • Option plans
  • Restricted stock
  • 83(b) elections
• Serve as outside general counsel on day-to-day legal matters, board governance, employment questions, and commercial contracts.
• Exposure to a growing M&A practice.

Qualifications

• JD
• Active license in good standing
• 5+ years of corporate experience with a significant focus on venture capital and emerging companies
• Experience ideally gained at a Big Law firm or elite boutique
• Confidence in owning matters and client relationships
• Ability to speak the language of founders
• Practical, business-first mindset
• Experience with M&A or complex capital events is a plus
• Interest in legal tech and AI-enabled delivery is a plus
