Role Description
Clean Energy Counsel, a mission-driven law firm dedicated to accelerating the worldโs transition away from fossil fuels, seeks to hire a highly qualified junior Tax associate with excellent law firm experience and academic credentials to join our firm. We are looking for an attorney who has expertise working on debt financings, including large syndicated financings and traditional project financings. The ideal applicant would also have a solid corporate law foundation and particular experience working in the renewable energy space. This position is fully remote โ as a distributed law firm, we offer the opportunity to work remotely from wherever you are licensed to practice law.
Qualifications

4-7 years of experience at a law firm serving clients in the renewable energy and related industries.

Juris Doctor (JD) from accredited law school.

LL.M. in Taxation from accredited law school.

Substantive experience advising on tax matters for renewable energy projects, including research and drafting of legal opinions, with familiarity in Investment and Production Tax Credits, tax equity and tax credit transfer transactions, beginning of construction analyses, and related issues.

Strong experience with Subchapter K.

Ability to analyze complex tax issues and deliver practical, business-oriented solutions, including support for broader transactional tax matters across firm practice groups.

Strong deal management capabilities, with excellent drafting, communication, negotiation, and analytical skills.

Proficiency in legal research and written work product.

Ability to work both independently and collaboratively in a team-oriented environment.

Admission to, and good standing with, the Bar in the applicantโs state of residence.

Demonstrated alignment with and commitment to the firmโs mission.
Requirements

Serve as the junior attorney for renewable energy transactions, in particular tax equity transactions (investor- and sponsor-side) and tax credit transfer transactions.

Conduct legal research and analysis on complex tax issues.

Draft legal memoranda, opinions, and tax-related documents.

Collaborate with clients, CEC colleagues, and other professionals on tax matters.

Assist with tax due diligence reviews and transactional documentation.

Stay updated on changes in tax laws and regulations.
Benefits

1,200 annual billable hour requirement, with bonuses for exceeding such requirement and for origination of new clients and matters based on a percentage of total revenue received.

Base salary of $160,000+. The base salary for this position will be determined during the interview process and will vary based on multiple factors, including but not limited to prior experience, relevant expertise, current business needs, and market factors.
