Role Description
The purpose of the In-House Legal Counsel role is to provide practical, business-forward legal advice that enables the Company's day-to-day operations and strategic initiatives. This role is heavily focused on advising cross-functional stakeholders with a collaborative, solution-oriented mindset. In-House Legal Counsel will execute a wide range of scopes supporting day-to-day business operations and strategic growth, and collaboratively enable a proactive, macro-level legal strategy for a growing mid-sized organization.
Qualifications

Juris Doctor (JD) from an accredited law school (required)

Active license and State Bar membership in good standing (required)

3β5 years of related legal experience (required)

Experience advising on corporate matters, commercial transactions, & risk management (strongly preferred)

Experience with California law (preferred)

Experience supporting strategic growth transactions (buy-side M&A experience preferred)

Proficient in Microsoft Office programs and CLM programs (preferred)
Requirements

Draft, review, and negotiate a high volume and wide variety of agreements, including customer, supplier, confidentiality, services, licensing, and other corporate agreements

Partner with internal stakeholders to identify objectives, highlight risks and opportunities, and drive negotiations to timely execution

Create and maintain agreement playbooks, templates, and contracting processes to improve speed and consistency and limit risk

Guide and oversee the IP lifecycle process and manage IP protection efforts in coordination with outside counsel and internal stakeholders (e.g., trademarks, patents, trade secrets, copyrights, etc.)

Review marketing materials for risk management and appropriate IP protection

Support Sales requests for assistance with customer letters and certificates

Create and maintain product warranties

Support employment-related matters (e.g., policies, handbooks, investigations support, separations) and coordinate with outside counsel as appropriate

Help create and maintain company-wide policies, regulatory trainings, and compliance processes

Support the Development team in meeting regulatory requirements and overcoming regulatory hurdles

Research and interpret applicable laws and regulations and anticipated changes to guide informed decisions and reduce risk

Assess legal and commercial risk and provide clear, actionable recommendations that align with the Company's risk tolerance and business priorities

Research and advise internal teams on product, operations, sales, supply, marketing, and other strategic projects and initiatives

Support dispute prevention and resolution efforts, including demand letters, contract disputes, and coordination with outside counsel when needed

Provide legal support for strategic growth transactions (for example, buy-side M&A) in close collaboration with outside counsel and internal stakeholders, including due diligence coordination, risk identification, drafting/reviewing transaction documents, and integration support

Support corporate governance and related documentation (e.g., entity management, board/consent materials) in coordination with internal stakeholders and outside counsel
