Role Description
We are seeking a confident, strategic, and detail-oriented In-House Counsel to partner closely with executive leadership in managing legal risk across a growing healthcare organization with multiple corporate entities. This role will serve as the primary internal legal resource for:

Employment law

Employee and former employee disputes

Corporate compliance
-
Contract and MOU development
-
Healthcare-related legal matters, including insurance and billing issues
This position will also oversee corporate governance and compliance activities across multiple companies, including:

Maintaining corporate records

Ensuring timely filings
-
Tracking regulatory deadlines to keep all entities in good standing
The ideal candidate is practical, solutions-oriented, highly organized, and comfortable handling complex and sometimes contentious matters.
Qualifications

Juris Doctor (JD) degree from an A.B.A. accredited law school.

Member in good standing at the State Bar of California.

1-2 years of experience in a legal role, preferably in a healthcare setting.

Strong knowledge of healthcare laws and regulations, including HIPAA, PHI, and other relevant legislation.

Excellent contract drafting and negotiation skills.

Strong analytical, problem-solving, and decision-making abilities.

Excellent communication and interpersonal skills.

Proactive, self-starter who takes ownership of daily responsibilities and projects and influences others across the business to ensure objectives are met.
Requirements

Provide legal guidance on California employment law matters, including discipline, termination, wage and hour compliance, and workplace investigations.

Manage and respond to employee and former employee claims, demand letters, administrative complaints, and litigation.

Develop and implement legal strategy to defend the organization against employment-related claims.
-
Conduct or support internal investigations related to employee complaints or allegations.
-
Advise leadership on legally sound personnel decisions and risk mitigation.
-
Manage corporate governance and compliance activities across multiple entities.
-
Prepare, file, and maintain required corporate documents, including annual statements, registrations, and renewals.
-
Track and monitor all corporate filing deadlines to ensure entities remain in good standing.
-
Maintain corporate records, licenses, permits, and compliance documentation.
-
Coordinate with accountants, registered agents, and regulatory agencies regarding entity requirements.
-
Support formation, dissolution, restructuring, and maintenance of corporate entities.
-
Ensure compliance with state and federal reporting requirements.
-
Develop and maintain a centralized compliance calendar for all corporate filings and regulatory deadlines.

Serve as the primary legal advisor to HR and leadership on sensitive employee matters.
-
Review and advise on high-risk employment actions, including terminations and disciplinary decisions.

Draft and revise employment policies, handbooks, and procedures.
-
Provide legal training to managers and leadership on employment law compliance.
-
Identify potential legal risks and recommend preventative strategies.
-
Support organizational compliance with federal, state, and local employment laws.
-
Draft, review, and finalize contracts, memoranda of understanding (MOUs), vendor agreements, settlement agreements, and partnership agreements.

Negotiate contract terms to protect the organizationโs interests.
-
Ensure agreements comply with regulatory and operational requirements.

Provide legal guidance on partnerships, acquisitions, and organizational initiatives.

Provide legal guidance related to healthcare billing, reimbursement, and payer disputes.
-
Support the organization during audits, pre-payment reviews, and claims investigations.

Advise leadership on compliance with healthcare regulations and documentation requirements.
-
Assist with responses to insurance inquiries, recoupments, and payment disputes.
-
Collaborate with billing, compliance, and operations teams to mitigate financial and regulatory risk.
-
Monitor regulatory changes affecting healthcare reimbursement and compliance.
-
Provide direct legal counsel to executive leadership on operational and strategic decisions.
-
Evaluate legal risk associated with new programs, policies, and business initiatives.
-
Develop practical legal solutions that support organizational goals.

Monitor changes in employment, healthcare, and corporate laws and advise leadership on necessary adjustments.
-
Support organizational growth, expansion, and new service development.
Benefits

Compensation: $75,000 - $85,000/year
