[Hiring] Emerging Companies and Venture Capital Associate @Serotonin

Role Description

Serotonin Legal is looking for a talented attorney with relevant in-house and/or law firm experience in transactional and corporate law. The firm is open to mid-level to senior associate talent and compensation will be determined based on experience. The attorney will primarily be responsible for handling emerging companies and venture capital related matters including:

• Entity formation and setup
• Equity and debt financings
• Commercial contracts
• Corporate governance
• Employment and equity compensation
• Capitalization table management
• Mergers and acquisitions (M&A)
• “Outside general counsel” responsibilities
• Other general corporate matters

Blockchain experience and knowledge are preferred, but not required. The attorney will work closely with the Managing Partner on a regular basis.

Qualifications

• Juris Doctor (J.D.) degree with strong academic credentials
• Membership in the New York State Bar is preferred but not required if admitted in another jurisdiction
• 2–8 years of experience at a law firm with an Emerging Companies & Venture Capital (ECVC) or similar practice group, or in-house experience with a technology company
• Knowledge and experience in blockchain technologies are preferred but not required
• Excellent project management, analytical, and communication skills, both oral and written
• Proven ability to work independently while staying connected in a remote work environment

Requirements

• Manage entity formation and setup for emerging companies
• Oversee equity and debt financings, including structuring and negotiation
• Draft and negotiate commercial contracts
• Provide counsel on corporate governance and compliance matters
• Advise on employment law and equity compensation strategies
• Manage capitalization tables and related documentation
• Handle mergers and acquisitions (M&A) transactions
• Serve as “outside general counsel” to clients
• Address other general corporate legal matters as needed
• Collaborate closely with the Managing Partner to deliver client-focused solutions
• Stay informed on developments in On-chain and Crypto technologies
