Role Description
Nesco Resource is partnering with a highly respected and growing law firm to identify an experienced Corporate Paralegal to join its Corporate Practice Group. This is an outstanding opportunity for a seasoned legal professional who enjoys supporting sophisticated business transactions in a collaborative, fast-paced environment. The firm offers flexibility to work remotely while providing the opportunity to work alongside experienced attorneys on complex commercial matters.

Prepare and file business formation, qualification, dissolution, and related corporate filings in multiple jurisdictions.

Prepare franchise tax filings and assist with corporate compliance matters.

Register nonprofit organizations and prepare federal and state tax exemption applications.

Conduct legal research, lien searches, and due diligence investigations.

Draft routine legal correspondence, including audit response letters.

Assist with secured lending transactions, including UCC filings, collateral reviews, certificates, and consents.

Coordinate pre-closing, closing, and post-closing activities, including preparing closing checklists, organizing signature pages, assembling closing binders, and maintaining transaction files.

Obtain certified corporate documents and certificates of good standing.

Work closely with attorneys and clients to resolve issues and ensure transactions progress smoothly.

Provide exceptional client service while managing multiple priorities and meeting critical deadlines.
Qualifications

Paralegal Certificate or Associate's/Bachelor's Degree in Paralegal Studies.

Minimum of 5 years of Corporate Paralegal experience, preferably within a law firm.

Experience supporting corporate transactions, financing matters, and business entity formations.

Strong knowledge of UCC filings, due diligence, and corporate governance documents.

Excellent organizational skills with the ability to manage multiple projects simultaneously.

Strong verbal and written communication skills.

Advanced proficiency with Microsoft Word, Excel, and Outlook.

Experience with legal software such as Carpe Diem, Hummingbird, or similar document management and timekeeping systems is a plus.

Ability to work occasional overtime to support transaction closings.

Competitive base salary of $105,000-$125,000, commensurate with experience.
