Role Description
The Corporate Paralegal will assist the General Counsel, Deputy General Counsel, and other Legal Department attorneys in providing timely, practical, and responsive legal support to the Company's Board of Directors, executive leadership, management, and business stakeholders. This role serves as a key member of the Legal Department and provides direct support to attorneys responsible for:

The Corporate Paralegal will be responsible for maintaining and improving contract lifecycle management processes, corporate governance systems, regulatory filing processes, and legal operations workflows. The individual will work closely with attorneys and business partners across the organization to support compliance with federal and state healthcare laws and regulations, including Medicare Advantage requirements administered by the Centers for Medicare & Medicaid Services (CMS).
Qualifications

Strong knowledge of corporate governance and corporate entity management.

Understanding of healthcare regulatory requirements, including Medicare Advantage, Medicaid, CMS regulations, state insurance regulations, and healthcare compliance concepts.

Familiarity with healthcare contracting, provider contracting, delegated entities, and managed care operations preferred.

Excellent organizational and project management skills with the ability to manage multiple priorities, deadlines, and regulatory requirements simultaneously.

Exceptional attention to detail and accuracy.

Strong legal drafting, writing, and analytical skills.

Excellent verbal and written communication skills.

Experience with contract lifecycle management systems, legal operations tools, and document management systems.

Ability to exercise sound judgment and maintain confidentiality, including the handling of sensitive and confidential information.

Advanced proficiency in Microsoft Office applications, including Word, Excel, PowerPoint, and Outlook.

Ability to work independently with minimal supervision while collaborating effectively with attorneys, executives, and business stakeholders.

Proactive, highly organized, and comfortable working in a fast-paced environment while managing competing priorities.
Requirements

Associate's Degree or Bachelor's Degree required.

Paralegal certificate from an ABA-approved program preferred.

Five (5) to ten (10) years of paralegal experience in a corporate legal department or law firm.

Healthcare, health plan, managed care, insurance, Medicare Advantage, Medicaid, or other government-sponsored health plan experience strongly preferred.

Experience supporting attorneys on corporate governance, healthcare regulatory compliance, entity management, and healthcare contracting matters preferred.

Experience supporting corporate governance activities, including board and committee meetings, preparation of meeting minutes, resolutions, annual filings, and maintenance of corporate records.

Experience reviewing, tracking, and managing contracts through all stages of the contract lifecycle.

Experience interacting with state insurance departments, CMS-related matters, health plan licensure, regulatory filings, audits, examinations, or other health plan regulatory activities is highly desirable.

Experience supporting legal entity management across multiple states preferred.

Experience with contract lifecycle management (CLM) systems and AI-assisted contract review tools preferred.

Knowledge of provider, vendor, and delegated entity contracting preferred.

Corporate secretary or governance-related experience within a healthcare, insurance, or health plan organization preferred.
License/Certification

Certified Paralegal (CP), Registered Paralegal (RP), or equivalent certification preferred.
