Role Description
Censys is seeking a Contracts Attorney to own our commercial contracting function. This is a highly execution-focused role for an experienced contracts attorney who thrives in fast-growing SaaS environments and enjoys operating at the center of deal velocity—balancing speed, precision, and risk in high-impact agreements.
As a Contracts Attorney, you will be the primary owner of Censys’ contracting lifecycle, responsible for drafting, negotiating, and closing customer, partner, and government-related agreements. You will work closely with Sales, RevOps, Finance, and Security to ensure deals move efficiently while maintaining clear and consistent risk standards. This role is less about broad legal coverage and more about deep specialization in contracts—you will be expected to operate with speed, consistency, and strong commercial judgment across a high volume of agreements.
What You Will Do

Own end-to-end contracting execution across customer, partner, and government agreements

Draft, review, and negotiate:

SaaS agreements, enterprise MSAs, order forms, renewals, and amendments

NDAs, DPAs, security addenda, and procurement terms

Drive deal velocity by partnering closely with Sales, RevOps, and Finance to remove friction in the contracting process

Build, maintain, and enforce contracting playbooks, templates, and fallback positions to ensure consistency and scalability

Identify and clearly articulate key risk areas in contracts, including:

Liability, indemnification, IP ownership, and data/security obligations

Support channel, reseller, marketplace, and strategic partner agreements

Provide targeted support for public-sector and government-related contracts, including:

Reviewing flow-down terms, compliance obligations, and procurement requirements

Partner with Security and Product on customer-driven security and compliance requirements within contracts
-
Track and improve key contracting metrics (e.g., cycle time, negotiation points, deviation from standard terms)

Implement process improvements, tooling, and automation to scale contracting efficiency

Serve as the central point of contact for all contract-related matters, ensuring clarity and consistency across the business
Qualifications

JD from an accredited law school; active bar membership in at least one U.S. jurisdiction

5+ years of focused experience in commercial contracting, ideally in SaaS or technology environments

Deep experience negotiating:

Enterprise SaaS agreements and MSAs

Procurement-driven contracts with large enterprises

Strong command of core commercial contract terms (liability, indemnity, IP, data/security, SLAs)

Experience supporting government or public-sector contracts is strongly preferred

Proven ability to manage high deal volume while maintaining quality and consistency

Highly detail-oriented with strong organizational and execution skills

Pragmatic and business-oriented, with a bias toward enabling deals while protecting the company

Comfortable operating independently as the primary contracts expert in a fast-paced environment
