Role Description
Blue Matter is building out its legal function, and we're looking for a Contract Manager to own the day-to-day contract lifecycle across the firm. This role handles NDAs, Master Service Agreements, Statements of Work, and settlement agreements β and more broadly, anything transactional in nature that supports the General Counsel's work.
This is a hands-on operational role with real ownership over a high-volume contract process at a growing, PE-backed life sciences consulting firm. It does not require a law degree or bar admission β it requires strong judgment, precision, and the ability to work independently against an established playbook.
Key Responsibilities
-
Draft, review, and negotiate routine NDAs (mutual and one-way) against established playbook positions, escalating deviations to the General Counsel.
-
Draft and manage client Master Service Agreements and Statements of Work, including redlines against Blue Matter's standard paper.
-
Support drafting and tracking of settlement agreements and other transactional documents as needed.
-
Track contract status, renewal dates, and key obligations across the active client and vendor portfolio.
-
Own and administer the contract lifecycle management platform (Juro) β intake, workflow routing, e-signature coordination, and recordkeeping.
-
Maintain and improve contract templates and the playbook/negotiation guidelines used across the team.
-
Coordinate with Finance, People, and Consulting leads on contract terms that touch their areas (pricing, staffing, data handling, etc.).
-
Provide administrative and organizational support on M&A due diligence and equity award recordkeeping as needed.
-
Flag legal or business risk issues to the General Counsel promptly rather than resolving them independently.
Qualifications
-
3+ years of experience in contract management, paralegal work, or a similar commercial contracts role β ideally in professional services, consulting, or life sciences.
-
Strong working knowledge of NDA, MSA, and SOW structures and common negotiation points.
-
Comfortable working independently against a playbook, with good judgment about when to escalate.
-
Experience with a CLM tool (Juro experience a plus, but not required).
-
Excellent written communication and attention to detail β this role touches a high volume of documents and mistakes are costly.
-
Bachelor's degree required; paralegal certificate a plus.
Nice to Have
-
Prior in-house experience at a consulting firm, CRO, or similar services business.
-
Some exposure to M&A process or basic corporate/entity maintenance work.
-
Experience working with a small or newly built legal function (comfortable with ambiguity and building process, not just following it).
Compensation & Benefits
-
$100,000 - $130,000 annual base salary plus generous incentive compensation structure.
-
401k - generous employer match with immediate vesting and financial planning resources.
-
Comprehensive medical, dental and vision coverage options effective day 1 of employment.
-
Flexible spending account (FSA) or Health Savings Account (HSA).
-
Company paid insurances including Short- and Long-Term Disability and Life insurance as well as additional voluntary options.
-
Paid parental leave for all new parents.
-
Health & Wellness Benefit (e.g., gym memberships; $1000 reimbursement annually).
-
Employee Assistance Program.
-
Generous paid time off including vacation, sick days, floating and company holidays.
