[Hiring] Board Chair @Orange Sky Australia

Role Description

The role of an Orange Sky Director is to provide strategic leadership and direction, to monitor financial performance and oversee the Chief Executive Officer (who sits across both Australia and Aotearoa). Directors must fulfil their corporate governance and fiduciary obligations and responsibilities with care and due diligence to the best of their abilities to ensure the long-term sustainability of Orange Sky. Directors act in a volunteer capacity.

Time Commitment

• 1 meeting/hui every 2 months + ad hoc meetings and events in NZ
• 1-2 hours of prep per meeting
• 45 minute monthly call with the CEO and joining the Orange Sky Australia Board meeting once per year
• Attend an Orange Sky shift each quarter (location dependent)
• 3 year term with potential to extend

Qualifications

• Proven experience leading a Board of Directors, including facilitating effective meetings, fostering constructive and inclusive discussion, supporting strong Board performance and building a productive partnership with the CEO.
• Strong knowledge of corporate governance, financial oversight and risk management, with the ability to interpret financial reports, support sound decision-making and ensure compliance with relevant legal and regulatory obligations.
