Role Description

This role involves providing effective and pragmatic legal support managing vendor transactions, deals, and disputes.

Display sound judgment in the review, drafting, and negotiation of a large volume of vendor contracts that are complex, business critical, and high-dollar value, in a fast-paced environment.
Contribute to the holistic negotiation of agreements with suppliers to achieve the optimal combination of service, cost, quality, and risk mitigation in a timely manner.
Advise on a variety of vendor agreements related to the operation of a large bank with a significant focus on technology contracting, including:
- Custom development agreements
- Off-the-shelf licensing arrangements
- Software and cloud arrangements (SaaS, IaaS, PaaS)
- Network connectivity and communications
- Professional services and consulting
- Hardware and infrastructure
- Test and license agreements
- Non-disclosure agreements
- Back-office banking platforms for commercial loans
- Residential loans
- Securities trading platforms
- Digital products and services
- Data aggregators and fintechs
Engage with sourcing and procurement, subject matter experts, segment lawyers, compliance, and risk partners to effectively identify and mitigate risks in third party relationships.
Advise on complex issues related to data, privacy, information security, consumer laws, third party risk, and intellectual property.
Provide prompt and responsive counsel while handling multiple issues in a deadline-intensive environment.

Qualifications

Bachelor’s Degree and JD required
5 years of experience negotiating commercial and/or technology contracts at a law firm or in-house

Requirements

Extensive experience drafting and negotiating vendor agreements.
First chair experience negotiating and drafting technology-related vendor contracts (e.g., SaaS, IaaS, and PaaS).
Familiarity with data privacy and information security issues with vendor contracts.
Experience in banking or financial services industry preferred.
Ability to resolve issues, to get to “yes” efficiently and drive performance.
Demonstrated success managing multiple projects and competing priorities under pressure.
Ability to break down complex legal concepts to internal clients in a practical, understandable way that balances legal risk and business objectives.
Ability to balance business considerations with legal risk and maintain effective business relationships.
Communicates clearly and succinctly to internal and external parties in a variety of communication settings and styles.
