Role Description

This role involves serving as a Local Resident Nominee Director for a foreign-owned company, helping to manage local affairs to fulfill corporate responsibilities. This is a non-executive role that satisfies legal and regulatory requirements without operational obligations.

  • Serve as the official local representative of the company
  • Ensure compliance with local statutory and regulatory requirements
  • Attend board meetings and sign documents as required
  • Act as a liaison between the company and local authorities
  • Provide a registered address for the company if necessary

Qualifications

  • Extensive experience in corporate governance and compliance
  • Strong understanding of local statutory and regulatory requirements
  • Ability to represent the company in official capacities
  • Excellent knowledge of corporate legal obligations
  • Previous experience serving as a director or in a similar role

Requirements

  • Our client's business must be clear and compliant
  • All Flatfee local resident directors must pass a background check (as allowed by local law)
  • Our client must issue indemnification to Flatfee as well as the local resident director as part of the appointment
  • The local resident director will act based on local law in terms of voting, but the client will have control of the board
  • Flatfee will engage a local attorney to ensure the contract between client and local resident director includes terms for local formalities that clearly address requirements, responsibility, and liability of each party per local laws and regulations
